<br /> 1. Assignor hereby assigns, trs~sfers and sets over into the
<br />Assignee all its right, title and interest as lessee under that certain
<br />Lease dated August 8, 1963 by and between the City of Lakewood, Ohio (the
<br />"City") ~s lessor, and Bevlyn, Inc. (now by change of name the Assignor),
<br />as lessee (hereinafter referred to as the "Lease"), covering certain premises
<br />ia Lakevood, Ohio, which are more particularly described in the copy of the
<br />Lease attached hereto as Exhibit A.

<br /> 2. This Assignment is giVen to secure the due and punctual pay-
<br /> ~ent by the Assignor of a~l ~et Rent due ~der that Lease between Assignee,
<br /> as landlord, and Assignor, as tenant, dated September 25, 1972 (hereinafter
<br /> referred to as the ':Ground Lease"), in accordance with its terms and to
<br /> secure the performamce of the covenants, terms, conditions and agreements to
<br /> be performed by Assignor thereunder, and any amendments, extensions or
<br /> renewals thereof. A Memorandum of the Ground Lease was filed for record
<br />
<br /> in the office of the Recorder of Cuyahoga County, Ohio, on ,
