· (v) The Assignee shall not Be liable for any loss sustained <br />by the Assignor w~th respect to the premises described in the Lease or <br />from a~y other act or omission of the Assignee in managing said premises <br />after default unless such loss As caused by the willful conduct or by <br />bad faith of the Assignee. Assignee shall not be obligated to perform <br />or discharge any obligations, duty or liability under the Lease under <br />or by reason of this Assignment, and Assignor shs.ll indemnify and hold <br />Assignee harmless from any and all liability, loss or damage which may 'or. <br />might be incurred under the Lease or under or by reason o'f this Assignment <br />and from any and all claims and demands whatsoever which may be asserted <br />against the Assignee by reason of any alleged obligations or undertaking.s <br />in its part to perform or discharge' any of the terms, covenants or agree- <br />ments contained in the Lease. Should Assignee incur any such liability <br />under the Lease or under or by reason of this Assignment or in the defense <br />of any claims or demands, the amounts thereof, including costs, expenses <br />and reasonable attorney fees (to the extent permitted by Applicable law) <br />shall be secured hereby and the Assignor agrees to .reimburse the Assignee <br />therefor immediately upon demand. This Assignment shall not operate to <br />place any responsibility -for the control, care, management or repair of the <br />premises described in the Lease or for carrying out any of the terms and <br />conditions of the Lease upon the Assignee; nor shall it operate to make <br />the Assignee responsible or liable for ~ny waste committed on the premises <br />or for any dangerous or defective condition of the premises or for any negligence <br />in the management, upkeep, repair and control of the premises resulting in <br />loss or death to any licensee, invitee, employee or stranger thereon. <br /> <br /> 6. This Assignment shall continue in effect for the term of the <br /> <br /> Lease and any extension or renewal thereof or for the term of the Ground <br /> <br />Lease, whichever is longer. <br /> <br /> <br />
