In the event VENDOR elects to re-purchase said premises as l~erein <br />provided, VENDEE agrees to transfer, sell and convey said premises to VENDOR <br />by good and sufficient Warranty Deed describing and conveying said premises <br />free and clear of all liens and encumbrances except taxes and assessments not <br />then due and payable and zoning ordinances. Said VENDEE shall also furnish <br />to VENDOR a Title Guarantee, guaranteeing to VENDOR that title to said premise~ <br />shall be free and clear of all liens and encumbrances except, as recited in said <br />deed. VENDEE shall be liable for and shall pay the costs of title examination <br />and issuance of the Title Guarantee, one-half (1/2) the escrow fee, transfer taxes, <br />cost of cancellation of any liens or mortgages of record and pro-rations chargeable <br />to VENDEE.
