(a) <br /> <br />(b) <br /> <br />(c) <br /> <br />(d) <br /> <br />A written financial feasibility study of an <br />independent certified public accountant or <br />firm of accounts, experienced in hospital <br />finance, acceptable to the Trustee evidencing <br />that Debt Service Coverage has been and is <br />projected to be met. <br /> <br />The certificate of an independent architect <br />or architectural firm having a reputation for <br />skill and experience in the design and con- <br />structing of hospitals and related appurt¢- ~ <br />nant facilities, acceptable to the Trustee, <br />stating (i) that the facilities proposed to <br />be financed with the proceeds derived from <br />the sale of the Parity Obligations with <br />respect to which such certificate is made are <br />estimated to have a life usefulness in excess <br />of five years and will be useful in the <br />operation of the Hospital; (ii) the estimated <br />of the actual cost of such facilities; and <br />(iii) that such cost will represent the <br />reasonable value of such facilities.. <br /> <br />An executed counterpart of a supplemental <br />indenture, duly executed by the Issuer, <br />providing the terms, conditions and limita- <br />tions of the Parity Obligations proposed to <br />be issued including the pledge of revenues <br />sufficient to pay the principal thereof and <br />any premium and interest thereon, any addi- <br />tional premiums on insurance and fidelity <br />bonds required for the proposed new facili- <br />ties and any additional personnel to operate <br />such new facilities; payment into the Debt <br />Service Reserve Fund in each month following <br />completion of the acquisition or construction <br />to be financed from the Parity Obligations of <br />am~ounts sufficient to make the amount on <br />deposit in the Debt Service Reserve Fund in <br />the sixtieth month following such completion <br />equal to the maximum amount required to be <br />paid into the Debt Service Fund in any one <br />calendar year for payment of principal of <br />(whether at maturity or by mandatory sinking <br />fund retirement) and any premium and interest <br />on all outstanding Bonds including Parity <br />Obligations and the payment of any additional <br />fees of the Trustee for services under the <br />supplemental indenture and of the paying <br />agents for such Parity Obligations. <br /> <br />A certified copy of proceedings by the Council <br />of the Issuer approving and authorizing the <br />acquisition or construction of the proposed <br />facilities, the issuance and sale of the <br />proposed Parity Obligations and fixing the <br />selling price thereof, approving and authoriz- <br />ing the execution of a supplemental lease if <br />the Project be then leased, and of the supple- <br />mental indenture and taking any other action <br />required in connection with the proposed new <br />facilities and the proposed Parity <br />Obligations. <br /> <br />-2%- <br /> <br /> <br />
