execution of that certain First Supplemental Trust Indenture, <br />to be dated February 1, 1982 (tile "First Supplemental <br />Indenture"), by and between the Issuer and the Trustee, <br />supplementing the Original Indenture (which, as supplemented <br />by the First Supplemental Indenture, is herelnmf~er referred <br />to as tile "Indent~Ire") in order to provide the terms, con- <br />ditions, and limitations of tile Series 1982 Bonds and to add <br />to tile covenants to be observed by the Issuer for the pro- <br />tection of the holders of the Bonds; and <br /> <br /> WHEREAS, this Council has determined and the Board <br />of Trustees of the Issuer's H,:,spitat intends to determine <br />that it is desirable for the issuer to propose amendments to <br />various provisions of the Original Indenture other than and <br />in addition to the amendments thereto set forth in the 1982 <br />Bond Ordinance, which proposed amendments require the consent <br />of the Bondholders in accordance with Section 1102 of the <br />Indenture; and <br /> <br /> WHEREAS, the Issuer has placed on file with the <br /> Cierk of Council of tile Issuer a form of Second Supplemental <br /> Trust Indenture, to be dated April 21, 1982 (the "Second <br /> Supplemental Indenture'~), embodying such proposed amend- <br /> ments; and <br /> <br /> WHEREAS, the origl:%al purchasers of the Series <br /> 1982 Bonds (the "IInderwriters") intend to file their written <br /> consents to the proposed amendments with the Trustee imme- <br /> diately upon the Issuer's delivery to the Underwriters of <br /> the Series 1982 Bonds, at which time tile Underwriters shall <br /> be the holders of at ].east sixty-slx and two-thirds percent <br /> (68-2/3%) ~n principal amount of tile Bonds then outstanding, <br /> <br />and the Issuer aI~.d the Trustee then intend to take such <br />further actions as required under said Section 1102 of tile <br />Indenture in ©rder to cause the Second Supplemental Inden- <br />ture to become effective; and <br /> <br />-2- <br /> <br /> <br />
