i~ERBAS, this Council has determined that National City Bank, Cleveland, Ohio meets the qua~ifications for a successor Trustee set forth in Section 806 of the Indenture; and I~tE~AS, this Council deems it desirable to appoint National City Bank, Cleveland, Ohio, to succeed BancOhio National Bank as Trustee u~der the Indenture on the effective date of BancOhio National Bank's resisnation; and I~IBREAS, this ordinance is lasislation determined to be an emerSency ~easure, the i~nediate passage of which is necessary for the t,~diate preservation of the public peace, property, health, safety and welfare, in that it is necessary that a successor TrusSee be appointed effective in~ediately upon the effective resi~nation of she present Trustee in order for the City to comply with the Indenture and preserve She security of its outstanding debt oblisations and thereby continue to provide for the health, care, safety and welfare of its residents; BF~ IT ORDAII~D BY THE COUNCIL OF THF. CITY OF LAKE~OOD, COUBYI~ OF CUYAHOGA, STATE OF OHIO: Section 1. Pursuant to and in accordance with Section 806 of the Indenture, National City Bank, Cleveland, Ohio, is hereby appointed successor Trustee under the Indenture, effective im~ediately upon the effective rasipation of BancOhio National Bank, Columbus, Ohio, as Trustee. Section 2. The Director of Finance of the City is hereby authorized and directed to execute and deliver to l~ational City Bank, Cleveland, Ohio, an instr,--nt evidencing and affecting the appointment of said Bank as successor Trustee mede pursuant to Section 1 hereof, and she Director of Finance is hereby further authorized and directed to execute and deliver such other doc,Rats and take such other steps as he deems necessary and appropriate to effect such appointment.
