(d) <br /> <br />For purposes of any consent or other action to <br />be taken by the holders of a specified percent- <br />age of Bonds hereunder or under the Indenture, <br />Bonds held by or for the account of the Issuer. <br /> <br /> "Paying Agents" means, as to any Series of Bonds, the Trustee <br />and any other financial institutions or trust companies designated as <br />paying agencies or places of payment for Bonds of such Series in or <br />pursuant to the applicable Series Bond Legislation, and their successors <br />designated pursuant to'the Indenture. <br /> <br /> "Permitted Encumbrances" means, as of any particular time, (i) <br />liens for taxes and assessments which are not then delinquent, or, if <br />then delinquent, which are being contested in accordance with the Inden- <br />ture, (ii) any lease of the Hospital Facilities authorized by the Inden- <br />ture, (iii) the Indenture, (iv) utility, access and other easements and <br />rights-of-way, mineral rights, restrictions and exceptions that an <br />Architect certifies will not interfere with or impair the operations <br />being or to be conducted at or on any Hospital Facilities (or, if no <br />operations are being conducted thereat or thereon, the operations for <br />which such Hospital Facilities were designed or last modified), (vi) <br />purchase money mortgages and purchase money security interests and other <br />similar interests to the extent permitted in the Indenture, (vii) such <br />minor defects, irregularities, encumbrances, easements, rights-of-way <br />and clouds on title as normally exist with respect to properties of <br />similar character to the Hospital Facilities and as do not in the aggre- <br />gate, in the opinion of an Architect or Independent Counsel, materially <br />adversely affect the value of the Hospital Facilities or materially <br />impair the property affected thereby for the purpose for which it was <br />acquired or is held by the Issuer, (viii) rights of certain members of <br />the Issuer's medical and dental staff who have teaching or administra- <br />tive responsibilities relating to the Hospital Facilities to use office <br />space and equipment within or constituting a portion of the Hospital <br />Facilities for the practice of medicine, dentistry and podiatry, and <br />(ix) statutory rights of the United States or the State under 42 U.S.C. <br />§291, et seq. <br /> <br /> "Person" or "persons" means natural persons, firms, associa- <br />tions, corporations and public bodies. <br /> <br /> "Principal Retirement Dates" means, as to any Series of Bonds, <br />the dates on which Bonds of such Series are to be retired (whether at <br />their stated ma%urity or on Mandatory Redemption Dates), as specified in <br />or pursuant to the applicable Series Bond Legislation. <br /> <br /> "Principal Retirement Schedule" means, as to any Series of <br />Bonds, the schedule of the principal amount of the Bonds of such Series <br />to be retired on the Principal Retirement Dates in accordance with their <br />stated maturities or to be redeemed by mandatory redemption on the <br />Mandatory Redemption Dates, as specified in or pursuant to the applic- <br />able Series Bond Legislation. <br /> <br />-10- <br /> <br /> <br />
