provide the security for payment of Bond Service Charges in the manner and to the extent herein and in the Indenture set forth; that all ac- tions on its part for the issuance of the Series 1983-A Bonds and Series 1983-B Bonds and execution and delivery of the Indenture have been or will be duly and effectively taken; and that the Series 1983-A Bonds and Series 1983-B Bonds and coupons appertaining thereto in the hands of the holders and owners thereof will be valid and enforceable special obliga- tions of the Issuer according to the terms thereof. (c) Maintenance of Ownership. Except as otherwise provided in the Bond Legislation or the Indenture, the Issuer will not sell or otherwise dispose of all or any part of the Hospital Facilities or create or suffer to be created any debt:, lien, or charge thereon or make any pledge or assignment of or create any lien or encumbrance upon any Special Fund or the Net Revenues other than the pledge and assignment thereof under the Bond Legislation and the Indenture. (d) payment of Taxes, Charges, Etc. The Issuer will pay or cause the payment of all lawful taxes, assessments, and charges at any time levied or assessed upon or against the Hospital Facilities, or any part thereof; provided, howeVer, that nothing contained .in this Section shall require the payment of any such taxes, assessments, or charges if the same are not lawfully required to be paid or are being contested in accordance with the provisions of the Indenture. (e) Maintenance and Repair. The Issuer will cause the Hospi- tal Facilities to be kept in good repair and good operating condition, and from time to time the Issuer may undertake additions, remodeling, modifications, and improvements to the Hospital Facilities subject to terms and conditions of the Indenture. (f) Recordings and Filings. Under the Indenture, the Issuer will cause the Indenture and any amendments or supplements thereto, and any necessary financing statements, amendments thereto, continuation statements and instruments of similar character relating to the pledges made by it to secure the Bonds, to be recorded and filed in such manner and in such places as may be required by law in order fully to preserve and protect the security of the holders of the Bonds and the rights of the Trustee under the Indenture. The Issuer will deliver to the Trustee at the Trustee's request an opinion of Independent Counsel, addressed to the Trustee stating that no filing, registration, or recording and no re-filing, re-registration, or re-recording of any such instrument is or will be necessary during the twelve calendar months immediately succeed- ing the date of such opinion, or if such filing, registration, record- ing, re-filing, re-registration, or re-recording is necessary, setting forth the requirements with respect thereto. Promptly after any filing, recording, re-filing, or re-recording of any financng statement or amendment thereto or continuation statement or instrument of similar character relating to any of the pledges made in the Bond Legislation or the Indenture, or any filing, registration, recording, re-filing, re- registration, or re-recording of the Indenture or any amendment or supplement thereto, the Issuer will deliver to the TruStee an opinion of -43-
