the fiscal year of the Issuer for budgeting and accounting purposes, to
<br />be evidenced, for purposes hereof, by a certificate of the Fiscal
<br />Officer filed with the Trustee.
<br />
<br /> "Historical Earnings Test" means that: (i) one-half of the
<br />aggregate Net Annual Income for the two most recent complete Fiscal
<br />Years for which audited financial statements are available prior to the
<br />authentication of the Additional Bonds proposed to be issued is at least
<br />120 percent of one-half of the aggregate Annual Requirements for said
<br />two Fiscal Years; and (ii) the Net Annual Income for each of the two
<br />most recent complete Fiscal Years for which audited financial statements
<br />are available prior to the authentication of the Additional Bonds pro-
<br />posed to be issued is at least 100 percent of the respective Annual
<br />Requirements for each such Fiscal Year; provided, however, that if a
<br />Hospital Consultant certifies (and in so certifying, states the assump-
<br />tions upon which such certificate is based and further states that, in
<br />the opinion of the Hospital Consultant, such assumptions are reasonable)
<br />that the Issuer did not satisfy the 120 percent Test set forth in (i)
<br />above because of any governmental or third-party reimbursement agency
<br />regulations hereafter adopted or promulgated, then the 120 percent Test
<br />set forth in (i) above shall not apply, but the 100 percent Test set
<br />forth in (ii) above shall continue to apply.
<br />
<br /> "Hospital Administrator" means the Administrator of the
<br />Lakewood Hospital.
<br />
<br /> "Hospital Consultant" means a recognized firm of consultants,
<br />selected by the Issuer and acceptable to the Trustee, knowledgeable in
<br />the operations and fiscal management of health care facilities, includ-
<br />ing hospitals, and having a good reputation for experience and expertise
<br />in such matters.
<br />
<br /> "Hospital Facilities" means (i) the Existing Hospital Facili-
<br />ties; (ii) any improvements or additions to or extensions of the Exist-
<br />ing Hospital Facilities and any furnishings or equipment to be used for
<br />or in connection with the Existing Hospital Facilities; and (iii) any
<br />other buildings or structures, any improvements or additions to or
<br />extensions of such other buildings or structures, any furnishings or
<br />equipment, or any real estate or interests in real estate, which build-
<br />ings, structures, improvements, additions, extensions, furnishings,
<br />equipment or real estate or interests therein are to be owned and used
<br />by the Issuer for or in connection with its ownership or operation of
<br />hospitals, emergency, intensive, intermediate, extended, long-term, or
<br />self care facilities, diagnostic and treatment and out-patient facili-
<br />ties, facilities related to programs for home health Services, clinics,
<br />laboratories, public health centers, research facilities, or rehabili-
<br />tation facilities, for or pertaining to diagnosis, treatment, care, or
<br />rehabilitation of sick, ill, injured, infirm, impaired, disabled, or
<br />handicapped persons, or the prevention, detection, and control of dis-
<br />ease, or education, training, and food service facilities for health
<br />professions personnel, housing facilities for such personnel and their
<br />families, medical office buildings, and parking and service facilities
