Section 13. Payment~ Purchase and Remarketing Agreement. In order to provide for the exercise by holders of the Series 1983 Bonds of their right to have the Series 1983 Bonds remarketed or, if not remarketed, purchased by the Bank, and in order to define and set forth the respective rights and duties of the Issuer, the Remarketing Agent, the Bank, the Trustee and the holders of the Series 1983 Bonds with respect ~o such remarketing or purchase, the Executive, the Fiscal Officer and the President of the Board of Trustees of the Lakewood Hospital are hereby authorized and directed, in the name and on behalf of the Issuer, to execute and deliver (after approval as to the form and correctness thereof by the Legal Officer) the Payment, Purchase and Remarketing Agreement substantially in the form on file with the clerk, which is hereby approved with such changes therein not inconsistent with this Bond Legislation and not substantially adverse to the Issues as may be approved by the officers executing the same on behalf of the changes and the determination that such changes are not substantially adverse to the Issuer shall be conclusively evidenced by the execution of the Purchase, Payment and Remarketing Agreement by such officers. Section 14. Supplemental Senior Indenture. In order to cause the Senior Indenture to reflect the issuance of the Series 1983 Bonds and to cause the definition of "Hospital Facilities" in the Senior Indenture to include the Medical Office Building, the Executive, the Fiscal Officer and the President of the Board of Trustees of the Lakewood Hospital are hereby authorized to execute and deliver (after approval as to the form and correctness thereof by the Legal Officer), a supplemental indenture amending and supplementing the Senior Indenture for said purposes. Section 15. Open Meeting Determination. It is found and determined that all formal actions of this Legislative Authority con- cerning and relating to the adoption of this Bond Legislation were adopted in an open meeting of this Legislative Authority, and that all deliberations of this Legislative Authority and of any of its committees that resulted in such formal action were in meetings open to the public, in compliance with all legal requirements including Section 121.22, Ohio Revised Code. Section 16. Separability. Each section of this Bond Legis- lation and each subdivision of any section hereof is hereby declared to be independent, and the finding or holding of any section or subdivision of any section hereof to be invalid or void shall not be deemed or held to affect the validity of any other section or subdivision of this Bond Legislation. Section 17. Recitals. It is hereby determined and recited that all acts, conditions and things necessary to be done precedent to and in the issuing of the Series 1983 Bonds in order to make the same, legal, valid and binding revenue bonds issued by the City of Lakewood, Ohio will have happened, been done and performed or will happen, be done -31-
