Issuer, the interest on which is exempt from federal income taxes,
<br />provided that such general obligations are rated as "AA" or higher by a
<br />Rating Service, and provided further that such general obligations shall
<br />constitute Eligible Investments only for moneys which, in the opinion of
<br />nationally recognized bond counsel, must be invested at a restricted
<br />yield in order to prevent any Bonds from becoming "arbitrage bonds"
<br />under Section 103(c) of the Internal Revenue Code of 1954, as amended.
<br />
<br />"Executive" means the Mayor of the Issuer.
<br />
<br /> "Existing Hospital Facilities" means the general hospital
<br />building owned by the Issuer, including the real estate owned by the
<br />Issuer on which such building is situated and the improvements and
<br />appurtenances to and the equipment and furnishings for such building,
<br />all as existing on the date of the Indenture.
<br />
<br />"Fiscal Officer" means the Director of Finance of the Issuer.
<br />
<br /> "Hospital Administrator" means the Administrator of the
<br />Lakewood Hospital.
<br />
<br /> "Hospital Consultant" means a recognized firm of consultants,
<br />selected by the Issuer and acceptable to the Trustee, knowledgeable in
<br />the operations and fiscal management of health care facilities, includ-
<br />ing hospitals, and having a good reputation for experience and expertise
<br />in such matters.
<br />
<br /> "Hospital Facilities" means (i) the Existing Hospital Facil-
<br />ities; (ii) any improvements or additions to or extensions of the Exist-
<br />ing Hospital Facilities, including the Medical Office Building, and any
<br />furnishings or equipment to be used for or in connection with the Exist-
<br />ing Hospital Facilities; and (iii) any other buildings or structures,
<br />any improvements or additions to or extensions of such other buildings
<br />or structures, any furnishings or equipment, or any real estate or
<br />interests in real estate, which buildings, structures, improvements,
<br />additions, extensions, furnishings, equipment or real estate or inter-
<br />ests therein are to be owned and used by the Issuer for or in connection
<br />with its ownership or operation of hospitals, emergency, intensive,
<br />intermediate, extended, long-term, or self care facilities, diagnostic
<br />and treatment and out-patient facilities, facilities related to programs
<br />for home health services, clinics, laboratories, public health centers,
<br />research facilities, or rehabilitation facilities, for or pertaining to
<br />diagnosis, treatment, care, or rehabilitation of sick, ill, injured,
<br />infirm, impaired, disabled, or handicapped persons, or the prevention,
<br />detection, and control of disease, or education, training, and food
<br />service facilities for health professions personnel, housing facilities
<br />for such personnel and their families, medical office buildings, and
<br />parking and service facilities in connection with any of the foregoing;
<br />or any one, part of, or any combination of the foregoing; provided,
