If effective termination date <br /> occurs between <br /> <br />Date of Agreement - December 31, 1984 <br />January 1, 1985 - December 31, 1985 <br />January 1, 1986 - December 31, 1986 <br />January 1, 1987 and thereafter <br /> <br />or <br /> <br />Portion of License Charges <br /> to Be Refunded <br /> <br />50.00% <br />33.33% <br />16.67% <br /> -- 0 -- <br /> <br /> (ii) Provide the System and all documentation there- <br /> for to Lakewood for its sole use under the Xerox Agreement, and RITA <br /> <br /> shall have no further right to use the System. In the event RITA elects <br /> <br />'this option (ii), Lakewood shall pay to RITA as full reimbursement for <br /> data processing services the sum of $5,700 per month for each month <br /> commencing January 1, 1984 through the end of the month in which the <br /> effective date of termination occurs. <br /> <br /> RITA shall notify Lakewood at least sixty (60) days prior <br /> to the effective date of termination as to which option it has selected. <br /> <br /> D. After the effective date of termination, or in any <br /> event after December 31, 1989, whichever occurs first, Lakewood shall no <br /> longer be responsible for payment of annual maintenance charges as <br /> provided in Section 2A. <br /> <br /> E. Should either party exercise its option to terminate <br /> the Xerox Agreement pursuant to Section 2.3 thereof, that party agrees <br /> to indemnify and hold harmless the other party from any damages, claims, <br /> losses, or costs which may result from such discontinuance, provided, <br /> however, that this indemnify shall not be construed to cover lost prof- <br /> its or other incidental or consequential damages resulting from 'such <br /> termination. <br /> <br />-8- <br /> <br /> <br />
