shall be prerequisite ~o such work being performed by the <br />Company. The'Company shall be given not less than seven (7) days <br />advance notice to arrange for such temporary wire changes. <br /> <br /> (h) In the maintenance and operation of its television <br />transmission and distribution system in the City of Lakewood and <br />in the course of any new construction or addition to its <br />facilities, the Company shall proceed so as to cause the least <br />possible inconvenience to the general public; the Company at its <br />expense, shall restore all damage to property, both public and <br />private, caused by the construction, maintenance or repair of the <br />cable system; any opening or obstruction in the streets or other <br />public places made by the Company in the course of its operations <br />shall be in accordance with the ordinances and regulations <br />governing the making of openings in the streets, sidewalks, <br />public ways or places of the City of Lakewood, Ohio, as <br />established by the Council and the Department of Public Works of <br />said City and which are in effect at that time. <br /> <br />SECTION §. INDEMNIFICATION AND INSURANCE <br /> <br /> (a) Indemnification. The Company hereby agrees to <br />indemnify, defend and hold harmless the City and its officers, <br />boards, commissions, agents and employees against and from any <br />and all claims, demands, actions, suits, liabilities and <br />judgments of every kind and nature and regardless of the merits <br /> <br /> -- 7 -- <br /> <br /> <br />
