<br />ér <br /> <br />'\ <br /> <br />ORDINANCE NO. <br /> <br />33-86 <br /> <br />BY: Chinnock, Gallagher, Graham, <br />Mc8ride, Wendling <br /> <br />AN ORDINANCE granting consent to the Shamrock Cable <br />Corporation to enter into a ten year licensing agreement with Shamrock <br />Lakewood Cablevision Associates, L.P. and to a collateral assignment <br />of the cable franchise to the First Pennsylvania Bank, N.A. of <br />Philadelphia. <br /> <br />WHEREAS, the Shamrock Cable Corporation, as the assignee of <br />the cahle franchise with the City of Lakewood, anticipates entering a <br />license agreement with Shamrock Lakewood Cablevision Associates L.P. <br />(Limited Partnership) whereby the operating rights of the franchise <br />would be licensed for a ten year period, and <br /> <br />WHEREAS, part of the secutityrequirements <br />Pennsylvania Bank N.A. of Philadelphia, which is <br />acquisition of the Complexicable system, require a <br />assignment of the franchise, and ...." <br /> <br />of the First <br />funding the <br />collateral <br /> <br />WHEREAS, Shamrock Cable Corporation has requested in <br />writing, Consent from Council for the abovementioned license <br />transaction and the collateral assignment, and Council sees no good <br />reason not to consent to the transfers, and <br /> <br />WHEREAS, this ordinance constitutes an emergency measure <br />providing for the immediate preservation of the public health, safety <br />and welfare and for the usual daily operation of a municipal <br />department; now, therefore, <br /> <br />OF OHIO: <br /> <br />BE IT ORDAINED BY THE COUNCIL OF THE CITY OF LAKEWOOD, STATE <br /> <br />Section 1. That Council hereby consents, approves, and <br />permits a license agreement between the Shamrock Cable Corporation and <br />Shamrock Lakewood Cablevision Associates, L.P. for a period of ten <br />(lØ) years. <br /> <br />Section 2. That Council hereby <br />permits a collateral assignment of the cable <br />Pennsylvania Bank N.A. of Philadelphia. <br /> <br />consents, approves and <br />franchise to the First <br /> <br />Section 3. The consent or approval of Council to any <br />assignment, lease, transfer, sublease, or mortg?ge of the franchise <br />shall not constitute a waiver or release of the rights of the City in <br />and to the streets. <br /> <br />Section 4. It is found and determined that all formal <br />actions of this Council conCerning and relating to the passage of this <br />ordinance were adopted in an open meeting of this Council, and that <br />all such deliberations of this Council and of any of its committees <br />that resulted in such formal action, were in meetings open to the <br />pUblic, in compliance with all legal requirements including Section <br />121.22 of the Ohio Revised Code. <br /> <br />Section 5.
