will enable the Issuer to provide better for the health and welfare of <br />the Issuer's residents and the general public by enhancing the avail- <br />ability, efficiency and economy of hospital facilities amd the services <br />rendered ~ere~y; and <br /> <br /> WHEREAS, this Ordinance is legislation determined to be an <br />emergency measure the fmmediate passage of which is necessary for the <br />immediate preservation of the public peace, property, health, safety, <br />and welfare, in that it is necessary that prompt provision be made for <br />the redemption of the Series 1983 Bonds in the manner set forth herein <br />in order for the Issuer to continue to provide efficiently, effectively, <br />and economically for the health, care, safety and welfare of its resi- <br />dents and of the general public; <br /> <br /> NOW, THEREFORE, BE IT ORDAINED BY THE COUNCIL OF THE CITY OF <br />LAKEWOOD, OHIO: <br /> <br /> Section 1. Definitions. As used herein or in the Trust <br />Agreement or in the Refunding Bonds (both as hereinafter defined), the <br />following words and terms shall have the following meanings unless the <br />context or use otherwise indicates another or different meaning or <br />intent: <br /> <br /> "Adjusted Rate" or "Adjusted .Rates" means the rate or rates of <br />interest to be born by any Refunding Bonds that remain outstanding after <br />the Crossover Date from and after the Crossover Date, determined in <br />accordance with Section 6 hereof. <br /> <br /> "Bond Service Charges" means the principal of and the interest <br />and any redemption premium on the Refunding Bonds. <br /> <br /> "Certificate of Award" means the Certificate of Award au- <br />thorized to be executed and delivered with respect to the Refunding <br />Bonds pursuant to this Refunding Bonds Legislation. <br /> <br />"Clerk" means the Clerk of the Council of the Issuer. <br /> <br /> "Crossover Date" means February 1, 1993. <br /> <br /> "Debt Service Fund" means the Fund of that name established <br />under the Trust Indenture. <br /> <br /> "Earliest Optional Redemption Date" means the date specified <br />as such in the Certificate of Award. <br /> <br /> "Escrow Account" means the account of that name established <br />pursuant to this Refunding Bonds Legislation. <br /> <br /> "Escrow Agreement" means the Escrow Agreement, dated as of <br />even date with the Refunding Bonds, between the Issuer and the Refunding <br />Trustee, as the same may be amended, supplemented or modified from time <br />to time in accordance with its terms. <br /> <br />-2- <br /> <br /> <br />
