(a) As to the Issuer: <br /> <br />City of Lakewood <br />City Hall <br />12650 Detroit Avenue <br />Lakewood, Ohio 44107 <br /> <br />(b) As to the Trustee: <br /> <br />National City Bank <br />1900 East Ninth Street <br />Cleveland, Ohio 44114 <br />Attention: Corporate Trust <br /> Administration <br /> <br />(c) As to the Lessee: <br /> <br />Lakewood Hospital Association <br />14519 Detroit Avenue <br />Lakewood, Ohio 44107 <br />Attention: Chief Legal Officer <br /> <br /> "Officer's Certificate" means, with respect to the Lessee, a <br />certificate signed by the chairman of the Governing Body, or the <br />president or chief executive officer, or the chief financial officer, of <br />the Lessee and, with respect to the Issuer, a certificate signed by the <br />ExecutiVe or Fiscal Officer. <br /> <br /> "Operator" means the Issuer or the Lessee, whichever is the <br />operator of the Leased Premises at the relevant time. <br /> <br /> "Original Indenture" means the Trust Indenture dated as of <br />March 15, 1983, between the Issuer and the Trustee, including the Bond <br />Legislation as a part thereof. <br /> <br /> "Original Issue Discount" means Original Issue Discount as <br />defined in Sections 5(i)(i) and 9(i)(i) hereof. <br /> <br /> "Original Purchaser" means, as to the Series One Bonds and <br />Series Two Bonds, the Person or Persons so designated in the Certificate <br />of Award for such Series of Bonds. <br /> <br /> "Permitted Encumbrances" means, as of any particular time, (i) <br />statutory rights of the United States of America under 42 U.S.C. §291 <br />et. seq., and similar rights under other federal and state statutes, <br />(ii) the lien and charge of the Indenture and of the Trust Indenture <br />dated as of November 1, 1983 between the Issuer and Central National <br />Bank of Cleveland as trustee ("Subordinated Indenture") and any lease of <br />the Hospital Facilities not disapproved by the Trustee or authorized by <br />the Indenture or the Subordinated Indenture and not requiring prior <br />consent of the Trustee, including the Lease and any leases from the <br />Issuer existing as of the date of the Lease, (iii) liens securing in- <br />debtedness for the payment, redemption or satisfaction of which moneys <br />(or Eligible Investments) in the necessary amount shall have been <br />deposited in trust with a trustee or other holder of such indebtedness, <br />(iv) utility, access and other easements and rights of way, restric- <br />tions, reservations and exceptions which an Architect or engineer <br />certifies will not materially interfere with or impair the operations <br />being conducted in the Hospital Facilities or as may be insured over <br /> <br />-8- <br /> <br /> <br />
