may be reasonably required to carry out the intent and purpose <br /> of this Agreement and to provide for the fulfillment of the <br /> respective obligations of the parties hereunder. <br /> <br /> (d) ~ime of the Essence. <br /> <br /> Time and all terms and conditions of this Agreement <br /> <br /> shall be of the essence hereunder. <br /> <br /> (e) Collateral Documents. <br /> <br /> All of the various documents, instruments, agreements, <br /> <br /> schedules and other undertakings referred to in this Agreement <br /> and collateral hereto Shall be deemed to be included herein and <br /> made a part hereof; provided, however, that if any conflict <br /> exists with respect to the respective rights and obligations of <br /> the City and/or the Redeveloper hereunder and under any of such <br /> <br /> collateral documents, then the terms .of this Agreement will <br />.govern. <br /> <br /> (f) ~. <br /> <br /> Should any part, term or provision of this Agreement <br /> be determined illegal or in conflict with any law of the State <br /> of Ohio, the validity of the remaining portions or provisions <br /> of this Agreement shall not be affected 'thereby. <br /> <br /> (g) Amendments. <br /> <br /> Except as otherwise expressly provided in this <br />Agreement, this Agreement may only be effectively amended, <br />changed, modified, altered or terminated by written instrument <br />executed by both the City and the Redeveloper. <br /> <br /> (h) CounterDarts. <br /> <br /> This Agreement may be executed in any number of <br /> <br />counterparts, each of. which shall be regarded as an original <br /> <br />- 33 - <br /> <br /> <br />
