20. Time. If any act pursuant to this Agreement is to be done on <br />a date whic~ is a Saturday, Sunday or legal holiday in the jurisdiction in <br />which the Premises are located, the date on which the act is to be done <br />shall be the next following business day. <br /> <br /> It is agreed that time is of the essence of this Agreement. <br /> <br /> 21. Governing Law. This Agreement shall be construed under the <br />laws of the State of Ohio. <br /> <br /> 22. Notices. Neither party may assign this Agreement <br />without the consent of the other party, except that Buyer may assign this <br />Agreement to a single-purpose entity formed solely for the purpose of <br />acquiring the 'Premises,provided that Buyer shall not be relieved of its <br />obligations under this Agreement by reason of such assignment. <br /> <br />24. [INTENTIONALLY DELETED] <br /> <br /> 25. Entire Agreement.
