<br />thereof, shall be held by the Fiscal Agent in trust and, except for moneys <br />déposited with or paid to the Fiscal Agent for the redemption of Bonds, notice <br />of the redemption of which has been duly given, and moneys held by the Fiscal <br />Agent pursuant to section 6 hereof, shall, while held by the Fiscal Agent, be <br />subject to the lien thereof. <br /> <br />section 17. Bond Reaister and other Duties of the Reaistrar. So <br />long as any of the Bonds, and Notes that are issued in fully registered form <br />pursuant to the applicable Series Legislation, remain outstanding the Registrar <br />shall keep and maintain at its corporate trust office the Bond Register, on which <br />it shall maintain a current and accurate record of the names and addresses of the <br />registered owners of the Bonds, and Notes, if åpplicable (the "Holders"), and <br />shall perform, without limitation, authentication, registration, exchange and <br />transfer functions and related mechanical, clerical and record or bookkeeping <br />functions in connection with the Bonds and Notes, all in accordance with this <br />General Bond Legislation, Section 9.96 of the Ohio Revised Code and any <br />applicable requirements of section 149(a) of the Code. <br /> <br />Section 18. Transfer and Exchanae of Bonds. In accordance with the <br />Bond Ordinance, the Registrar shall: <br /> <br />(a) Exchange or transfer Bonds in accordance with Section 5 Of this <br />General Bond Legislation. <br /> <br />(b) Record the exchange or transfer of any Bond on the Bond Register. <br /> <br />(c) If manual signatures on behalf of the Issuer are required, undertake <br />the above actions only after new Bonds are signed by the authorized <br />officers of the Issuer. <br /> <br />(d) Complete the transfer or exchange, completion, authentioation and <br />delivery of new Bonds in accordance with the standards and <br />conditions applicable to 'registered corporate securities established <br />in the Securities and Exchange Commission regulation §240.17 Ad-l <br />and -2 as promulgated under Section 17A of thé Securities and <br />Exchange Act of 1934, as amended. <br /> <br />section 19. Charaes for Transfer or Exchanae. Every exchange Or <br />transfer of Bonds shall be made without charge to the Holdérs, except that the <br />Issuer and Registrar may make a charge sufficient to reimburse thém for any tax <br />or other governmental charge required to be paid with respect to the exchange or <br />transfer. The Registrar may require that those charges, if any, be paid beforé <br />it begins the procedure for thé exchange or transfer. <br /> <br />section 20. Lost. Stolen or Mutilated Bonds or Notes. The Registrar <br />shall complete, authenticaté, deliver and register new Bonds to replace Bonds <br />lost, stolen, destroyed or mutilated upon receiving evidence of the lost, stolen, <br />destroyed or mutilatéd bond satisfactory to the Fiscal Officer and Registrar and <br />written instruotions to do so from the .Fiscal Officer, together with evidence of <br />indemnification of the Issuer and the Registrar by the Holder in a form <br />satisfactory to the Fiscal Officer and the Registrar. The holder shall pay all <br />reasonable expense of issuing the duplicaté or making the payment, including <br />administrative and legal expenses and any printing costs. . <br /> <br />The Registrar shall replace Notes lost, stolen, destroyed or <br />mutilated upon réceiving évidence of the lost, stolen, destroyed or mutilated <br />bond satisfactory to the Fiscal officer and Registrar and written instructions <br />to do so from the Fiscal Officer, together with evidence of indemnification of <br />the Issuer and the Registrar by the Holder in a form satisfactory to the Fiscal <br />Officer and the Registrar. The holder shall pay all reasonable expense of issuing <br />the duplicate or making the payment, including administrative and legal expenses <br />and any printing costs.
