<br />í <br /> <br />i <br />, <br /> <br />The successor Fiscal Agent and Registrar shall become custodian, authenticating <br />agent and Paying Agent. <br /> <br />section 32. Desianation and Succession of Additional pavina Aaents. <br />The Fiscal Agent shall be the paying Agent for the Bonds and Notes. With the <br />consent of the Issuer, the Fiscal Agent may, and upon the request of the Issuer <br />the Fiscal Agent shall, appoint an additional Paying Agent or Agents with power <br />to act on its behalf and subject to its direction in the payment of Bond Service <br />Charges on any series of Bonds or Notes. It is the responsibility of the Fiscal <br />Agent to establish the duties and responsibilities of any Paying Agent for the <br />purposes of this General Bond Legislation and any applicable Series Legislation, <br />to the extent not specified herein. <br /> <br />Any corporation or association with or into which any additional <br />Paying Agent may be merged Or converted or with which it may be consolidated, or <br />any corporation or association resulting. from any merger, consolidation or <br />conversion to which any such Paying Agent shall be a party, or any corporation <br />or association succeeding to the trust business of such Paying Agent, shall be <br />the successor of the Paying Agent hereunder, if that successor corporation or <br />association is otherwise eligible hereunder, without the execution or filing of <br />any paper or any further act on the part of the parties hereto or the Paying <br />Agent or that successor corporation or association. <br /> <br />Any additional Paying Agent may at any time resign by giving thirty <br />(30) days' written notice of resignation to the Fiscal Agent and Registrar. The <br />Issuer may at any time terminate the agency of any such Paying Agent by giving <br />written notice of termination to such Paying Agent and to the Fiscal Agent and <br />Registrar. Upon receiving such a notice of resignation or upon such a <br />termination, or in case at any time any such Paying Agent shall cease to be <br />eligible under this section, the Issuer may appoint a successor Paying Agent, <br />subject to the approval of such successor by the Fiscal Agent. The Issuer shall <br />give written notice of appointment of a successor Paying Agent to the Fiscal <br />Agent and Registrar and shall mail or cause such Paying Agent or Fiscal Agent to <br />mail, within ten (10) days after that appointment, notice thereof to all HolderS <br />as their names and addresses appear on the Bond Register on the date of that <br />appointment. <br /> <br />Notwithstanding anything in this section to the contrary, no <br />termination or resignation of any Paying Agent shall take effect until a <br />successor Paying Agent is appointed and approved as provided in this Section. <br /> <br />The Paying Agent agrees to perform the duties of the Paying Agent <br />under this General Bond Legislation, including, but not limited to: <br /> <br />(a) keeping such books and recordS as shall be consistent with <br />prudent industry practice and to make such books and records available for <br />inspection by the Issuer and the Fiscal Agent at all reasonable times; and <br /> <br />(b) holding all money held by it for the payment of the principal <br />of Or interest on Bonds or Notes in trust for the benefit of the Holders until <br />such money shall be paid to such Holders or otherwise held and disposed of as <br />herein provided. <br /> <br />The Issuer shall pay to any Paying Agent from time to time reasonable <br />compensation for its services as shall be agreed upon between the Issuer and such <br />paying Agent prior to such Paying Agent assuming its duties hereunder. <br /> <br />The provisions of Section 5 with respect to payment of Bonds and <br />Section 4(h) with respect to payment of Notes. <br /> <br />-24- <br />
