b. Occupancy and Possession. Seller <br />shall deliver occupancy and possession of the Property <br />to Buyer upon transfer of title. <br /> <br /> 8. SALES .COMMISSIONS. Seller shall ~be <br />responsible for any and all sales commissions due any <br />individual or business entity as a consequence of this <br />transaction. The Seller agrees to indemnify, save and <br />hold harmless.' the Buyer from any claims for sales <br />commissions of any sort. Buyer represents that no <br />broker or business'entity .of any sort has in any way <br />been active or instrumental in this transaction, and <br />that negotiations have been carried on between the <br />Seller and the City of Lakewood without, the <br />intervention of any other entity. <br /> <br /> 9. pRoRATIONS, CHARGES AND CREDITS. <br /> <br /> a. Charges Against Seller. Seller shall <br /> <br />be charged with the following costs, to be deducted by <br />the Escrow Agent from funds due Seller: (1) the costs <br />of satisfying any taxes, assessments, liens or <br />encumbrances required to be discharged by this <br />Agreement; (2) any real estate commissions required to <br />be paid by Seller; and (3) the amount of any <br />prorations due Buyer under this Agreement. <br /> <br /> b.
