a. Sellers shall be charged with and pay the following <br /> costs, to be deducted by the Escrow Agent from funds <br /> due Sellers: <br /> (1) Prorations chargeable to Sellers. <br /> (2) The cost of satisfying any taxes, assessments, <br /> liens or encumbrances to be discharged by this <br /> agreement. <br /> (3) Real estate sales commissions, if any. <br /> b. Buyer shall be charged with the following costs: <br /> (1) The cost of title examination and issuance of title <br /> guarantee in the amount of Two Hundred Ten <br /> (210,000) Dollars. <br /> (2) Transfer Fees. <br /> (3) The cost of any location service or survey. <br /> (4) The cost of any special tax search. <br /> (5) The costs incident to filing the deed for record. <br /> (6) Prorations chargeable to Buyer, if any. <br /> (7) The entire escrow fee. <br /> 11. PRORATIONS. Taxes and assessments both general and <br />special' shall be prorated by the Escrow Agent as of the date of <br />the transfer of title based upon the last available ~tax rate and <br />valuation. Utility charges will be adjusted directly between <br />Sellers and Buyer. The Escrow Agent shall withhold the sum of <br />One Thousand (1,000) Dollars from Sellers' proceeds pending <br />receipt of proof of payment of final utility bills. <br /> 12. OCCUPANCY AND POSSESSION. Sellers shall deliver <br />occupancy and possession of property to Buyer on the date the <br />aforesaid warranty deed is filed for record in the Office of the <br />Recorder of Cuyahoga County, Ohio. <br /> 13. WAIVER OF RELOCATION COSTS. Sellers hereby waive <br />payment of any business relocation costs and/or expenses for the <br />relocation of any and all businesses located on the premises <br />herein above described. <br /> 14. ENTIRE AGREEMENT. This agreement constitutes the <br />entire agreement between the parties. The representations, <br />warranties and agreements in this agreement shall survive the <br />transfer of title. There are no other conditions, <br />representations, warranties or agreements, express or implied <br />other than contained in this agreement. <br /> <br />3 <br /> <br /> <br />
