enforceable by the City and the Trustees, respectively, to the full extent permitted by law. All
<br />amounts payable under this Section, together with interest thereon at the Interest Rate for
<br />Advances from the date of payment by the indemnified Person, shall constitute Additional
<br />Payments and shall be paid by the Lessee on demand by the indemnified Person. In any action
<br />brought to' collect those Additional Payments, the indemnified Person shall be entitled to the
<br />recovery of the Additional Payments, except as limited by law or judicial order or decision.
<br />
<br /> Section 9.10. Compliance with Applicable Law and Insurance Requirements.
<br />The Lessee covenants and agrees to comply promptly with all Legal Requirements, as defined
<br />below, during the Lease Term at its sole cost and expense. At its own expense, the Lessee will
<br />procure, maintain and comply (or cause compliance) with all permits, licenses and other
<br />authorizations required for the Leased Premises.
<br />
<br /> The Lessee may contest any Legal Requirement, at the Lessee's expense and in
<br />its own name and on its own behalf, by any appropriate means in good faith, and may postpone
<br />compliance therewith pending the completion of the contest; provided that the Lessee shall
<br />deliver to the Trustees an opinion of counsel satisfactory to the Senior Trustee to the effect that
<br />the Leased Premises, or any part thereof, will not be subject to imminent loss or forfeiture.
<br />
<br /> As used in this Section, the term "Legal Requirements" means all laws, statutes,
<br />codes, acts, ordinances, resolutions, orders, final judgments and decrees, injunctions, rules,
<br />regulations, permits, licenses, authorizations, directions and requirements of all governments,
<br />departments, commissions, boards, courts, authorities, agencies, officials and officers, .foreseen
<br />or unforeseen, ordinary or extraordinary, which are applicable now or may be applicable at any
<br />time hereafter to the Lessee, to the Leased Premises, or any part thereof, to any use or condition
<br />of the Leased Premises, or any part thereof, or to health care providers or hospitals generally.
<br />
<br /> Section 9.11. Operation of the Leased Premises. At all times throughout the
<br />Lease Term, the Lessee covenants that it shall
<br />
<br /> (a) operate so much of the Leased Premises as are eligible therefor in
<br />compliance with the standards of the Joint Commission on Accreditation of
<br />Healthcare Organizations or any substitute organization which is nationally
<br />recognized as performing the functions now performed by such Commission.
<br />
<br /> (b) administer, operate, maintain, repair, occupy and use the Leased
<br />Premises in accordance with the terms of this Lease; and faithfully and efficiently
<br />administer, operate and maintain as Hospital Facilities so much of the Leased
<br />Premises as from time to time are Hospital Facilities rendering the Required
<br />Services and related services and care, at all times as facilities are available,
<br />without discrimination as to race, sex, creed, color or national origin, to patients
<br />who are residents of the City and all members of the general public as facilities
<br />are available and as professional opinion determines the necessity thereof.
<br />
<br /> (c) open to the public all meetings of its Governing Board to assure full
<br />disclosure of the operations of the Lessee except when the Governing Board by
<br />motion adopted by it determines that public discussion or action of the Governing
<br />Board would be detrimental to th~ interests of the patients of the Lessee, the
<br />welfare of the residents of the City or the Lessee.
<br />
<br /> (d) continue to provide the Required Services within the City and to
<br />utilize the Leased Premises as a healthcare facility subject to discontinuance
<br />pursuant to Section 9.16 of this Lease.
