(i) enter and take possession of the Leased Premises, or any
<br />appropriate part thereof, without terminating this Lease,
<br />
<br /> (ii) complete any Improvement, if it is not then completed, holding
<br />the Lessee liable for completion costs, if any, not reimbursed to the City
<br />or Trustees from the proceeds of the Bonds or otherwise,
<br />
<br /> (iii) collect rentals and enforce ail other remedies of the Lessee
<br />under any leases of, or assignments or grants of rights to use or occupy,
<br />the Leased Premises, or any part thereof, but without being deemed to have
<br />affirmed the leases, assignments or grants, and
<br />
<br /> (iv) enter into new leases, assignments and grants on any terms
<br />which the City or Senior Trustee may deem to be suitable for the Leased
<br />Premises, or any part thereof, which leases, assignments and grants shall
<br />not be terminated or affected if the Lessee cures the Event of Default.
<br />
<br />Rentals and other amounts payable under the leases, assignments and grants
<br />~described in clauses (iii) and (iv) of the preceding sentence may be applied b.y the
<br />City or Senior Trustee to any costs of administration, operation, repair or
<br />maintenance of the Leased Premises, or any part thereof, as the City or Senior
<br />Trustee may reasonably deem Useful, and the remaining balance shall be applied
<br />to the Basic Rent, Additional Payments and other amounts payable, or to become
<br />payable, under this Lease in the order of priority to be determined by the City or
<br />Senior Trustee in accordance with this Lease. Any balance of the rents and other
<br />amounts remaining thereafter shall be paid promptly to the Lessee by the City or
<br />senior Trustee in accordance with this Lease, and the City or Senior Trustee may
<br />hold .the Lessee liable for the difference between those rents and other amounts
<br />and the Basic Rent, Additional Payments and other amounts payable under this
<br />Lease.
<br />
<br /> (c) The City and the Trustees may have access to, inspect, examine and
<br />make copies of the Lessee's books, records, accounts, financial and other data,
<br />and income and other tax returns.
<br />
<br /> (d) In accordance with applicable law, all Gross Revenues shall become
<br />pa~able mediately to the Senior Trustee, or in the event no Bonds are then
<br />outstanding, to the City, and the Senior Trustee or the City, as applicable, may
<br />take whatever steps it deems necessary to notify payors of the Gross Revenues of
<br />the Senior Trustee's or the City's right thereafter to receive payments of Gross
<br />Revenues directly.
<br />
<br /> (e) The Senior Trustee or the City if no Bonds are outstanding may
<br />exercise any and all and any combination of remedies available to it under the
<br />Indenture and this Lease.
<br />
<br /> (f) The City and the Senior Trustee may take whatever action at law or
<br />in equity may appear necessary or desirable to collect the Basic Rent, Additional
<br />Payments and other amounts then payable, or to become payable, under this
<br />Lease, or to enforce the observance and performance of any covenant, agreement
<br />or obligation of the Lessee under this Lease.
<br />
<br /> Any amounts collected as, or applicable to, Basic Rent pursuant to any action
<br />taken under this Section (i) shall be paid to the Trustees and shall be applied in accordance with
<br />the provisions hereof and of the Indentures, or (ii) if the Bonds and coupons have been paid and
