"Termination Date" means the later of (i) January 2, 2027, or (ii) January 2, 2057
<br />if extended by the Lessee exercising its option pursuant to Section 2.5 hereof, subject to earlier
<br />termination of this Lease by the Lessee pursuant to Section 12.1, and by the City pursuant to
<br />Sections 13..2 and 13.4 hereof subject to reinstatement under Section 13.2 or 13.8 hereof.
<br /> "Total Operating Revenues" means total patient revenue less provision for
<br />uncollectible accounts, charity cases and any contractual adjustments, plus other operating
<br />revenues.
<br /> "Trustees" means collectively the Senior Trustee and the Subordinated Trustee.
<br /> "Unassigned Rights" means all of the fights of the City (i) to receive Additional
<br />Payments under Section 3.2 hereof, (ii) to be held harmless and indemnified under Section 9.9
<br />hereof, (iii) to be insured under insurance policies and/or plans required under Section 6.4
<br />hereof, (iv) to receive prior notice of any proposed sublease, right to use or assignment of the
<br />Leased Premises or Management Contract under Section 11.1 hereof and to prevent the
<br />effectuation thereof pursuant to that Section, (v) to receive prior notice of and prevent the
<br />effectuation of the termination of services pursuant to Section 9.16 hereof, (vi) to exercise the
<br />remedies available to the City under Section 13.2 hereof, (vii) to be reimbursed for attorneys'
<br />fees and expenses under Section 13.5 hereof, (viii) to accept the surrender by the Lessee of the
<br />Leased Premises upon termination of this Lease under Section 14.1 hereof, (ix) to receive
<br />notices, determine whether to provide requested approvals and terminate this Lease under
<br />Section 14.15 hereof and (x) to execute amendments hereto under Section 14.6 hereof.
<br /> Section 1.3. Certain Words Used Herein: References; and Headines. Any reference
<br /> herein to the City, the Hospital Trustees, the Executive, the Council, the Fiscal Officer, any
<br /> members or officers of the City, the Council or the Hospital Trustees, or other public boards,
<br /> commissions, departments, institutions, agencies, bodies .or entities, or members or officers
<br /> thereof, includes those succeeding to their functions, duties or responsibilities pursuant to or by
<br /> operation of law or performing their functions laWfully.
<br /> Any reference to a section or provision of the Constitution of the State or the
<br /> Charter, a section, provision or chapter of the Ohio Revised Code, federal or State laws, or
<br /> regulations governing Medicare or Medicaid includes that section, provision or chapter, or those
<br /> laws or regulations, as amended, modified, revised, supplemented or superseded from time to
<br /> time; provided, however, that no amendment, modification, revision, supplementation or
<br /> supersession of the Constitution, laws of the State or the Charter shall be deemed to be
<br /> applicable by reason of this Section, if that applicability would constitute in any way an
<br /> impairment of the rights or obligations of the Bondholders, the City, the Lessee or the Trustees
<br /> under this Lease.
<br /> Words of any gender include the correlative words of any other gender. Unless the
<br /> context indicates otherwise, words importing the singular number include the plural number, and
<br /> vice versa. The terms "hereof", "herein", "hereby", "hereto" and "hereunder", and similar
<br /> terms, refer to this Lease; and the term "hereafter" means after, and the term "'heretofore"
<br /> means before, the date of delivery of this Lease.
<br /> Section 1.4. Status and Authority of City. The City represents and warrants that
<br /> it has been duly organized and is validly existing under the laws of the State and that it has
<br /> authority (i) by virtue of the Act and the Charter, to enter into this Lease and (ii) pursuant to
<br /> Section 5.13 of the Indenture to enter into this Lease.
<br /> Section 1.5. Public Purpose for Lease. The Council has found and determined and
<br /> confirms hereby that this Lease of the Leased Premises to Lessee will promote the public
