BE IT ORDAINED BY COUNCIL OF THE CITY OF LAKEWOOD, OHIO, TWO- <br />THIRDS OF THE MEMBERS THEREOF VOTING AFFIRMATIVELY; <br /> <br /> Section I: The current Lease dated June 26, 1987, by and between the City of Lakewood <br />and Lakewood Hospital Association will be amended and replaced by an amended and restated <br />Lease on the terms and conditions, and in substantially the form attached hereto as Exhibit"A," <br />and as approved by the Director of Law. <br /> <br /> Section 2. In consideration of the payments to be made by Lakewood Hospital <br />Association under the terms of the Lease, and the covenants and other obligations contained <br />therein, this Council authorizes and approves the amendment and restatement of the Lease dated <br />June 26, 1987, and the execution and delivery of an amended and restated Lease, in substantially <br />the form attached hereto as Exhibit "A," and as approved by the Director of Law, with such <br />changes, if any, which are approved by the officers of this City executing the Lease, permitted by <br />the Bond Indentures, consistent with law and this Ordinance, in the best interest of this City and <br />in a form approved by the DirectOr of Law. <br /> <br /> Section 3. The Mayor, President of Council and Director of Finance are hereby <br />authorized and directed to execute the Lease on behalf of the City of Lakewood, and to execute <br />such other documents and take such other actions as are necessary and appropriate to give effect <br />to the amended and restated Lease. The Lease may be signed upon the passage of this <br />Ordinance, placed into escrow upon terms and conditions approved by the Director of Law and <br />shall become effective upon the closing of the Definitive Agreement by and between the <br />Lakewood Hospital Association and The Cleveland Clinic Foundation. <br /> <br /> Sectiort 4. It is found and determined that all formal actions of this Council concerning <br />and relating to the passage of this Ordinance were adopted in an open meeting of this Council, <br />and that all such deliberations of this Council and any of its committees that resulted in such <br />formal actions, were in meetings open to the public, in compliance with all legal requirements. <br /> <br />Adopted: <br /> <br />President <br /> <br />Approved: ~e~ 1'71 <br /> <br />Clerk <br /> <br /> <br />
