VII. Other Understandings and Undertakin~s.~ <br /> <br /> A. BRL agrees that through NS' consultations with the officials and <br />elected representatives of BRL, which consultations have culminated in this <br />Agreement, NS has complied with the directives in the DEIS regarding <br />consultations with BRL with respect to potentially significant impacts resulting <br />from the Transaction. <br /> <br /> B. BP& agrees not to seek any conditions or mitigation with respect to the <br />STB's approval of the Conrail Application other than as provided in this <br />Agreement at the STB, in any court, or in any other forum. By so agreeing, BRL <br />shall not be deemed to have waived such fights as it may have in the future to <br />seek reopening of the STB's approval of the Conrail Application, pursuant to <br />applicable laws and regulations governing reopening of such proceedings, for the <br />limited purpose of reconsideration of the adverse environmental impacts of the <br />Transaction upon BRL and of the conditions imposed by the STB for mitigation <br />of such adverse impacts. <br /> <br /> C. NS acknowledges that it is bound by any system-wide mitigation <br />measures mandated by the STB for hazardous materials transport and intends to <br />apply NS' own system-wide program for the safe transportation of hazardous <br />materials (as further described in Attachment A hereto) to the lines and facilities it <br />will operate in BRL post-Transaction. Additionally, NS agrees to work with BP& <br />to provide hazardous materials response training to BRL emergency service <br />providers. NS also agrees to provide each of Bay Village.
