Bonds, as provided in this Bond Legislation, the Bond Purchase Agreement (the "Bond Purchase Agreement") among the Issuer, the Original Purchaser and the Borrower and the Indenture, are consistent with all legal requirements and will carry out the public purposes of the Act. The award shall be further evidenced by the Certificate of Award, which shall determine and state the aggregate principal amount of the Series 2000 Bonds and certain information relating to interest rates, maturities and redemption provisions as provided herein. Any one or more of the Mayor and the Director of Finance, alone or together, are hereby authorized and directed to execute and deliver the Bond Purchase Agreement to the Original Purchaser and the Borrower in substantially the form now on file with the Clerk of this Council, with any changes therein which are not inconsistent with this Bond Legislation and not substantially adverse to the Issuer, and as are permitted by the Act and approved on behalf of the Issuer by the officer or officers signing the Bond Purchase Agreement. The approval on behalf of the Issuer of those changes and the status of those changes as not substantially adverse to the Issuer shall be conclusively evidenced by the execution of the Bond Purchase Agreement by the officer or officers signing the Bond Purchase Agreement on behalf of the Issuer. Each of the Mayor and the Director of Finance, are authorized and directed, alone or together, to make the necessary arrangements with the Original Purchaser to establish the date, location, procedures and conditions for the delivery of the Bonds to the Original Purchaser and to take all steps necessary to effect due execution, authentication and delivery of the Bonds to the Original Purchaser under the terms of this Bond Legislation, the Certificate of Award, the Indenture and the Bond Purchase Agreement. The Mayor, the Director of Finance and the Clerk of Council are authorized and directed to make on behalf of the Issuer the necessary arrangements with the Original Purchaser to establish the date, location, procedure and conditions for the delivery of the Series 2000 Bonds and to take all steps necessary to effect due execution and delivery of the Series 2000 Bonds under the terms of this Bond Legislation, the Remarketing Agreement, the Agreement and the Indenture. The Mayor, the Director of Finance and the Clerk of Council are further authorized and directed to determine on behalf of the Issuer the final principal amount and 'terms of the Series 2000 Bonds and the sale thereof, and this Council hereby determines that such authorization and direction, all as provided in the aforesaid documents, are in the best interests of the Issuer and consistent with all legal requirements, such determination to be conclusively evidenced by the execution by such officers of those documents pursuant to Section 8 hereof. The proceeds from the sale of the Series 2000 Bonds shall be deposited in the Project Fund created in the Indenture and applied as provided in the Indenture and the Agreement. This Council authorizes the use and distribution by the Original Purchaser, in connection with the offer and sale of the Bonds, of a preliminary offering document and final offering document in such fo~rms as may be approved by the officials signing the Bond Purchase Agreement. Except as may be described in the Bond Purchase Agreement, the Issuer has not confirmed, and assumes no responsibility for, the accuracy, completeness or sufficiency of any of the statements in any disclosure document used by the Original Purchaser in connection with the offer and sale of the Bonds or any supplements thereto, or in any reports, financial information, offering or disclosure documents or other information relating in any way to the facilities described 4
