The membership of the TIR Council shall be three members appointed by the Board of Cuyahoga <br />County Commissioners; two members who shall be residents of the City of Lakewood, appointed <br />by the Mayor with the concurrence of this Council; the Cuyahoga County Auditor or his designee, <br />and an individual appointed by the Board of Education of the District. The Clerk of Council is <br />hereby authorized and directed to notify the Clerk of the Board of Cuyahoga County <br />Commissioners, the Cuyahoga County Auditor and the President of the Board of Education of the <br />District of the establishment of the TTR Council and to request the appointment of the respective <br />members of the TIR Council in accordance with this Section 8. <br /> <br /> SECTION lO. The Mayor or her designee, alone or together, are further authorized <br />and directed to execute any certifications, financing statements, assignments, agreements, <br />instruments and other documents as may be necessary, and to take such further actions, as are <br />necessary or appropriate to effect the transactions contemplated in the Development Agreement <br />and to consummate the transactions contemplated in this Ordinance and the Development <br />Agreement and to undertake, complete and finance the public improvements in accordance <br />therewith, as are not inconsistent with this Ordinance and not substantially adverse to the City and <br />which shall be approved by the Director of Law. All actions heretofore taken by the officers and <br />officials of the City and of this Council in connection with the Project and the acquisition, <br />construction, operation, maintenance and financing thereof are hereby ratified and approved. <br /> <br /> SECTION 11. It is hereby found and determined that all formal actions of this Council <br />concerning and relating to the passage of this Ordinance were passed in open meetings of this <br />Council, and that all such deliberations of this Cbuncil and of any of its committees that resulted in <br />any such formal action, were in meetings open, to the public, in compliance with all legal <br />requirements including the City's Charter and Codified Ordinances. <br /> <br /> SECT]ON 12. This Ordinance is hereby declared to be an emergency measure <br />necessary for the reasons set forth and defined in the preamble of this Ordinance, and provided it <br />receives the affirmative vote of at least five (5) of its members elected to Council, this Ordinance <br />shall take effect and be in force immediately upon its adoption by the Council and approval by the <br />Mayor; otherwise it shall take effect and be in force after the earliest period allowed by law. <br /> <br />President <br /> <br />Approved: <br /> <br />Page 3 of 3 <br /> <br /> <br />
