<br />computation of the payments under Section 2. The City shall provide to the School District <br />promptly upon request such other evidence reasonably requested by the School District relating <br />to the payments that are due the School District or the other obligations of the City under this <br />Agreement, in each case subject to applicable state and federal laws pertaining to confidentiality <br />of municipal income tax information. <br /> <br />Section 6. Amendments. This Agreement may be amended or modified by the parties <br />only in writing, signed by the parties to this Agreement. Either of the parties to this Agreement <br />may request the other to re-open negotiations over the terms of this Agreement if either of the <br />following occur: <br /> <br />(a) As a result of changes in the laws of Ohio or the United States of America, the amount of <br />the Non-TIP Revenues or Service Payments is materially adversely affected. <br /> <br />(b) As a result of economic changes affecting the party seeking to re-open the negotiations, <br />the general revenues ofthat party are materially adversely affected. <br /> <br />As used in this Section, a change of 20% will be deemed material. Nothing in this Agreement, <br />however, requires either party to amend the Agreement; each party only agrees to re-open <br />negotiations and to negotiate in good faith. <br /> <br />Section 7. Entire Agreement. This Agreement sets forth the entire Agreement and <br />understanding between the parties as to its subject matter and merges and supersedes all prior <br />discussions, agreements and undertakings of every kind and nature between the parties with <br />respect to the subj ect matter of this Agreement. <br /> <br />Section 8. Counterparts. This Agreement may be executed in any number of <br />counterparts, all of which taken together constitute one agreement, and any party to this <br />Agreement may execute this Agreement by signing any counterpart. <br /> <br />IN WITNESS WHEREOF, the parties have caused this Agreement to be executed as of <br />the date set forth above. <br /> <br />CITY OF LAKEWOOD, OHIO <br /> <br />LAKEWOOD CITY SCHOOL <br />DISTRICT, OHIO <br /> <br />Superintendent <br /> <br />Mayor <br /> <br />Approved as to form: <br /> <br />Treasurer <br /> <br />Director of Law <br /> <br />6 <br />
