<br />If completion of the Project is delayed at any time by an act or neglect of the City or by <br />labor disputes, fire, unusual delay in deliveries, unavoidable casualties, or other causes beyond <br />Grantee's control, the time for completion of the Project shall be extended by mutual agreement in <br />writing between the Grantee and the City. <br /> <br />Section 1.05 Business Move <br /> <br />Grantee agrees to move its printing business to the completed Project and maintain its <br />business at the project site for five (5) years. Failure to remove or reaming for the above specified <br />above specified time period shall constitute GRANT default. <br /> <br />ARTICLE II - THE GRANT <br /> <br />Section 2.01 <br /> <br />The GRANT <br /> <br />Subject to the terms and conditions of this Agreement, the City agrees to grant to the <br />Grantee the sum of Two Hundred Thousand Dollars ($200,000) subject to the conditions set forth <br />herein. <br /> <br />The Grantee's obligation to perform its obligations for the Grant shall be secured by a <br />mortgage in the amount of the Grant. <br /> <br />Section 2.02 <br /> <br />Disbursement of Grant Funds <br /> <br />A. Requirements for Disbursement <br /> <br />(I) The Grant funds shall not be disbursed until Grantee has submitted to the City, <br />and are accepted by the City, any certificates, documents and instruments required by this <br />Grant Agreement or the Grant documents in forms satisfactory to the City and its attorneys; <br />and <br /> <br />(ii) The Grant Funds shall not be disbursed until Grantee has submitted to the City <br />and had accepted by the City, evidence of payment or an invoice for professional services in <br />connection with the Project. <br /> <br />B. City To Disburse Funds <br /> <br />On behalf of Grantee, the City shall disburse funds directly to all companies and contractors for <br />eligible costs of the Site Preparation Project not to exceed a total of Five Hundred Thousand <br />Dollars ($500,000). The costs shall include, but not limited two the architectural costs, <br />environmental and engineering costs, and the installion of a Geopiers system or its equivalent to <br />make the site development ready for the construction of a 16,000 square foot building and the for <br />future addition of 12,000 square feet. <br /> <br />ARTICLE III - REPRESENTATIONS AND WARRANTIES <br /> <br />Page 4 of 16 <br />
