<br />DEFINED TERMS

<br />For purposes of the Agreel11£nt to which this Appendix A is appended, the following
<br />terms, phrases, words, and their derivations shall have the meanings set forth herein,
<br />unless the context clearly indicates that another l11£aning is intended.
<br />

<br />"Agreement" means the Agreement to which this Appendix A is appended,
<br />together with all Appendices attached thereto and all amendments or modificatioru; thereto.
<br />
<br />"City" means the City of Lakewood, Ohio, or, as appropriate in the case of
<br />specific provisioru; of this Agreement, any board, bureau, authority, agency, commission,
<br />department of, or any other entity of or acting on behalf of, the City of Lakewood, Ohio,
<br />or any officer, official, employee, or agent thereof, any designee of any of the foregoing,
<br />or any successor thereto.
<br />
<br />"Company" means The Ohio Bell Telephone Company, an Ohio corporation that
<br />uses the name AT&T Ohio, and whose principal place of business is located at 45
<br />Erieview Plaza, Cleveland, Ohio 44114. '
<br />
<br />"Effective Date" shall be the date this Agreement is executed, as set forth in the
<br />opening clause of this Agreement.
<br />
<br />"Facilities" meàns the Company's facilities to be installed within the Streets that
<br />will be constructed, operated, maintained, repaired and upgraded to provide IP Video
<br />Service and other IP-based services. Said Facilities are a part of and an exteru;ion to the
<br />Company's existing te1ecommunicatioru; facilities and equipment.
<br />
<br />"FCC" means the Federal Commuuicatioru; Commission, its designee, or any
<br />successor thereto.
<br />
<br />"IP Video Service" means the video service described in Appeudix B and offered
<br />by the Company over the Facilities in the Streets.
<br />
<br />"streets" means the surface of, and the space above and below, any and all streets,
<br />avenues, highways, boulevards, concourses, àriveways, bridges, tunnels, parks, parkways,
<br />waterways, docks, bulkheads, wharves, piers, public grounds and public places or waters
<br />within and belonging to the City and any other property within the City to the extent to
<br />which there exist public easements or public rights of way.
