"Book-Entry Form" or "Book-Entry System" means a form or system under winch <br />(a) the ownersinp of book-entry interests in Notes end the Debt Service on the Notes may be <br />trensferred only through a book enlry, and (b) physical note certificates in fully registered form <br />are issued by the City only to a Depository or its nominee as registered owner, with the Notes <br />deposited and retained in the custody of the Depository or its agent. <br /> <br /> "Certificate of Award" means the certificate authorized by Section 7 of this ordinance, <br />sett'mg forth the terms and other provisions of the Notes required or authorized by this orcFmance. <br /> <br />"Closing Date" means the date of delivary of and payment for the Notes <br /> <br /> "Code" means the Internal Revenue Code of 1986, as mended. References to the Code <br />and sectigns of the Code include applicable regulations (whether temporary or final) under the <br />Code, and any amanchnents of, or successor provisions to, those sections or regulations <br /> <br /> "Debt Service" means all amounts due as principal, interest, at/d any prenfium on en issue <br />of securities <br /> <br /> "Depository" meens eny securities depository that is a cleating agency under federal law <br />operating and mimtainlng, with its Particlpents or otherwise, a Book-Entry System to record <br />ownership of book-entry interests in securities or the principal of and interest on securities, end <br />to effect transfers of securities, in Book-Entry Form and means initially the Depository Trust <br />Company, New York, New York, a limited purpose trust company <br /> <br /> "Federal Tax Status" means the status of the interest on the Notes as excludable fi.om <br />gross income for federal income tax purposes and not treated as an item of tax preference for <br />purposes of the alternative minimum tax~ <br /> <br /> "Finencing Costs" means any finenclng costs authorized to be paid by Section 133 01(K) <br />of the Oino Revised Code. <br /> <br /> "Note Proceed'mgs" means, collectively, this ordinance, the Certificate of Award, the <br /> Registrar Agreement, and the oth~r proceedings of the City, including the Notes, that provide <br />. collectivaly for, among other tinngs, the rights of holders and baneficial owners of the Notes <br /> <br />"Notes" means the Sireet Improvement Notes, Series 2007} authorized by this ord'mence. <br /> <br /> "Participant" means any participant contracting with a Depository under a Book-Entry <br />System and includes securities brokers and dealers, banks and trust compenias, and clearing <br />corporations <br /> <br /> "Project" means improving the following streets in the City by constructing, <br />reconstructing, and paving between the termini set forth below: <br /> <br />Woodward Avenue fi.om Madison to Detroit <br />Belle Avenue fi.om Detroit to Franklin <br />Arliss Avenue fi.om Cove to its end <br />Blossom Park Avenue fi'om Fj'anklin to Detroit <br />Parkway Drive fi.om Lewis to Lewis <br />Bounieview Drive fi.om Detroit to Clifton Boulevard <br /> <br /> "Register" means all books and records necessary for the registration, exchange, and <br />transfer of the Notes <br /> <br /> "Registrar" means The Huntington National Bank, a national banking association, or any <br />successor registrar designated in accordance with the Registrar Agreement, or any other bank or <br />trast company as designated by the D/rector of Finance in the Certificate of Award. <br /> <br /> "Registrar Agreement" means the Note Registrar Agreement between the C~ty end the <br />Registrar, as supplemented, amended, or modified <br /> <br />"Underwriter" moons A.G Edwards & Sons, Ine <br /> <br /> <br />
