"Depository" means any securities depository that is a clearing agency under federal law operating and maintaining, with its Participants or otherwise, a book-entry system to record ownership of book-entry interests in securities or the principal of and interest on securities, and to effect transfers of secttrities in book-entry fo~n. "Federal Tax Status" means the status of the interest on the Bonds as excludable fi'om gross income tax purposes and not treated as an item of tax preference for purposes of the a/temative "Finandmg Costs" means any financing costs authorized to be paid by Section 133.01(K), Revised Code. "Interest Payment Dates" means June 1 and December 1 oi' each year, beginning December 1, 2007. "Mandatory Redemption Dates" means December 1 in each of the years designated in the Certificate of Award as Mandatory Redemption Dates. "Mandatory Sinking Fund Redelnption" means redemption in accordance with the mandatory redemption requirements, if any, described in Section 2(d) of this ordinance. "MSRB" means the Municipal Securities Rulemaking Board establisl~ed by the SEC "NRMSIR" means each nationally recognized municipal securities information repository designated fi.om time ~o time by the SEC in accordance with the SEC Rule. "Original Principal Amount" means the face amount of the Bonds. "Outstanding Notes" means the City's $9,913,000 Various Purpose General Obligation Bond Anticipation Notes, Series 2006 "Holder" means, as to any Bond, the person in whose name the Bond is registered on the Register. "Participant" means any participant contracting with a Depository under a book-entry system and includes securities brokers and dealers, banks and trust companies, and clearing cetpomtions~ "Projects" means the following: (1) reconstructing sidewalks and drive aprons as necessary, (2) improving streets by replacement of the concrete base and asphalt overlay, includ'mg replacement of curbs as required, together with all necessary appurtenances thereto, (3) improving streets by improving traffic stgnalization, (4) ' improving streets by installing street name signs, (5) mn~vating municipal buildings, (6) improving park fac'fi/ties and sites, (7) improving streets and murdcipal properties by clearing, lrimming and planting trees, (8) improving Foster Pool a~d Madisun Pool, and (9) improving the ~ty's public parking facilities by replacing parking meters "Prindpal Payment Dates" means December I of the years set forth in the table in Section 2(c) of this ordinance or in the Certificate of Award. "Purchase Agreement" means the Bond Purchase Agreement between the City and the Underwriter, entered into in accordance with Section 6 of this ordinance, 11
