<br />"Federal Tax Status" means the status of the interest on the Notes as excludable from
<br />gross income for federal income tax purposes and not treated as an item of tax preference for
<br />purposes of the alternative minimum tax,
<br />
<br />"Financing Costs" means any fmancing costs authorized to be paid by Section I33,OI(K)
<br />of the Ohio Revised Code,
<br />
<br />"Note Proceedings" means, collectively, this ordinance, the Certificate {)f Award, the
<br />Registrar Agreement, and the other proceedings of the City, including the Notes, that provide
<br />collectively for, among other things, the rights of holders and beneficial owners of the Notes,
<br />
<br />"Notes" means the Motorized Equipment Notes, Series 2008, authorized by this
<br />ordinance,
<br />
<br />"Outstanding Notes" means the $2,444,421 portion of the City's $2,525,000 motorized
<br />equipment notes, authorized by City Ordinance 40-07, enacted April 3, 2007, and issued as part
<br />of the City's consolidated issue of $6,123,000 Various Purpose General Obligation Bond
<br />Anticipation Notes, Series 2007,
<br />
<br />"Participant" means any participant contracting with a Depository under a Book-Entry
<br />System and includes securities brokers and dealers, banks and trust companies, and clearing
<br />corporations,
<br />
<br />"Project" means acquiring motorized equipment and appurtenances thereto,
<br />
<br />"Purchase Agreement" means any Note Purchase Agreement between the City and the
<br />Underwriter, entered into in accordance with Section 7 of this ordinance,
<br />
<br />"Register" means all books and records necessary for the registration, exchange, and
<br />transfer of the Notes,
<br />
<br />"Registrar" means The Huntington National Bank or any successor registrar designated
<br />in accordance with the Registrar Agreement, or any other bank or trust company as designated
<br />by the Director of Finance in the Certificate of Award,
<br />
<br />"Registrar Agreement" means the Note Registrar Agreement between the City and the
<br />Registrar, as supplemented, amended, or modified,
<br />
<br />"Series 2006 Notes" means the City's $2,687,000 motorized equipment notes, authorized
<br />by City Ordinance 33-06, enacted May 17, 2006, and issued as part of the City's consolidated
<br />issues of $9;913,000 Various Purpose General Obligation Bond Anticipation Notes, Series 2006,
<br />
<br />"Underwriter" means Wachovia Bank, National Association,

<br />Section 15. Effectiye Date. This ordinance is hereby declared to be an emergency
<br />measure necessary for the immediate preservation of the public peace, property, health, safety
