<br />"Project" means (1) resurfacing and improving city-owned parking lots and driveways, <br />(2) conducting feasibility studies with respect to a new jail facility, and (3) improvements to City <br />Hall, <br /> <br />"Purchase Agreement" means the Note Purchase Agreement between the City and the <br />Underwriter, entered into in accordance with Section 7 of this ordinance, <br /> <br />"Register" means all books and records necessary for the registration, exchange, and <br />transfer of the Notes. <br /> <br />"Registrar" means The Huntington National Bank or any successor registrar designated <br />in accordance with the Registrar Agreement, or any other bank or trust company as designated <br />by the Director of Finance in the Certificate of Award. <br /> <br />"Registrar Agreement" means the Note Registrar Agreement between the City and the <br />Registrar, as supplemented, amended, or modified. <br /> <br />"Underwriter" means Wachovia Bank, National Association, <br /> <br />Section 15. Effective Date. This ordinance is hereby declared to be an emergency <br />measure necessary for the immediate preservation of the public peace, property, health, safety <br />and welfare in the City, and for the further reason that the Notes must be sold promptly in order <br />to take advantage of favorable interest rates; and provided it receives the affirmative vote of at <br />least five (5) of its members elected to Council, this ordinance shall take effect and be in force <br />immediately upon its passage by the Council and approval by the Mayor; otherwise it shall take <br />effect and be in force after the earliest period allowed by law, <br /> <br />Passed: April 7, 2008 <br /> <br />~.g <br /> <br />President of Council <br /> <br />Approved: APrilL, 2008 <br /> <br />--wc~ 7.
