EXHIBIT A <br />EASEMENT AGREEMENT <br />This Easement Agreement ("Agreement") is entered into as of the day of <br />2010, by and between the Lakewood City School District Board of <br />Education ("Grantor") of Lakewood, Ohio, and the City of Lakewood, Ohio, a municipal <br />corporation, ("Grantee"). <br />RECITALS <br />WHEREAS, Grantor is the fee title owner of certain lands situated in the City of Lakewood, <br />Cuyahoga County, Ohio, fully described in Exhibit A, attached hereto and incorporated herein <br />(hereinafter referred to as the "Premises"); <br />WHEREAS, Grantee desires to construct and maintain certain traffic control devices and <br />related facilities to be located on a portion of the Premises. <br />NOW, THEREFORE, in consideration of the sum of Ten Dollars ($10.00) and other <br />valuable consideration received to the full satisfaction of Grantor and in further consideration of the <br />covenants, promises, and agreements set forth herein, the parties agree as follows: <br />1. Grantor hereby grants and conveys to Grantee a perpetual, nonexclusive easement in, <br />under, over, upon, and across that portion of the Premises outlined in Exhibit B, attached hereto and <br />incorporated herein (the "Easement Area"), for the sole purpose of constructing, reconstructing, <br />modifying, supplementing, maintaining, operating and/or removing traffic control devices and <br />supports including, but not limited to, above-ground cables and wires, splicing pedestals, power <br />pedestals, electronic equipment cabinets, cross-connect terminal boxes, concrete pads, protective <br />bollards, marker posts and signs, and other related or useful equipment, including below-ground <br />foundations, cables; wires, conduits, ducts, manholes and handholes, and other related or useful <br />{00852337 - 1} <br />
