"Continuing Disclosure Agreement" means the Continuing Disclosure Agreement <br />authorized by this Ordinance. <br />"Depository" means any securities depository that is a clearing agency under federal law <br />operating and maintaining, with its Participants or otherwise, a book entry system to record <br />ownership of book entry interests in Bonds or the principal of and interest on Bonds, and to <br />effect transfers of Bonds, in book entry form, and includes and means initially The Depository <br />Trust Company (a limited purpose trust company), New York, New York. <br />"Director of Finance" means the Director of Finance of the City. <br />"Director of Law" means the Director of Law of the City. <br />"Final Terms Certificate" means the Final Terms Certificate authorized by this <br />Ordinance. <br />"Improvement" means improving, renovating, furnishing and equipping municipal <br />buildings and improving municipal sites and rights-of--way, improving Franklin Boulevard, <br />Hilliard Road, Homewood Drive, Gold Coast Lane, Forest Road, Indianola Avenue, West Forest <br />Drive, Overbrook Avenue, West Clifton Boulevard, St. Charles Avenue, Lakewood Heights <br />Boulevard and streets located in the City, acquiring police communication equipment, improving <br />parks and improving sanitary sewers and the wastewater treatment plant. <br />"Interest Payment Dates" means June 1 and December 1 of each year that the Bonds are <br />outstanding, commencing June 1, 2013. <br />"Mandatory Sinking Fund Redemption" means the schedule(s) of the mandatory <br />redemption of Term Bonds set forth in the Final Terms Certificate. <br />"Mandatory Sinking Fund Redemption Dates" means those Principal Payment Dates set <br />forth in the Final Terms Certificate on which a portion of the principal amount of the Term <br />Bonds are required to be redeemed. <br />"Mayor" means the Mayor of the City. <br />"Original Purchaser" means KeyBanc Capital Markets Inc. <br />"Outstanding Note" means the. City's Various Purpose Improvement and Refunding <br />Note, Series 2012, dated April 18, 2012 and maturing on October 18, 2012. <br />"Participant" means any participant contracting with a Depository under a book entry <br />system and includes securities brokers and dealers, banks and trust companies, and clearing <br />corporations. <br />"Preliminary Official Statement" means the preliminary official statement of the City <br />relating to the issuance of the Bonds. <br />
