RESOLUTION NO. 6568-91 BY:Boscia, Gallagher, Gazzana, George, Graham, R0th, Smith AN EMERGENCY RESOLUTION authoriting and directing the Director of Law to engage special counsel to assist the City in evaluating and negotiating the Final Development Agreement with Lakewood Associates, Inc. for the redevelopment of the downtown commercial area of the City of Lakewood. WHEREAS, Lakewood Associates, Inc. has proceeded and satisfied the terms and conditions of the Preliminary Development Agreement and certain matters have been approved by Council and the Planning Commission regarding the development of the Lakewood City Center, and WHEREAS, City Council determined by Resolution No. 6504-90 that it would be beneficial to the City to engage additional outside legal counsel to assist the Director of Law in negotiating the Final Development Agreement for the Lakewood City Center, and WHEREAS, the firm of Climaco, Climaco, Seminatore, Lefkowitz & Garafoli'Co., LPA was examined by members of City Council and the Law Director and found qualified to represent the City in such negotiations, and WHEREAS, satisfactory and beneficial legal services were provided to assist the Law Director in negotiating and preparing a Final Development Agreement which was executed by the Mayor on March 14, 1991, and WHEREAS, this resolution constitutes an emergency measure providing for the immediate preservation of the public health, safety and welfare, and for the usual daily operation of a municipal department; now, therefore, BE IT RESOLVED BY THE CITY OF LAKEWOOD, STATE OF OHIO: Section 1. That the Law Director of the City of Lakewood be and is hereby authorized to engage the law firm of Climaco, Climaco,. Seminatore, Lefkowitz & Garafoli, Co., LPA, as special counsel to assist in negotiating and evaluating the Final Development Agreement of the Lakewood City Center proposed by Lakewood Associates, Inc. not Fund. Section 2. That the fees for such special counsel exceed the sum of $20,000.00 and shall be paid from the should General Section 3. It is found and determined that all formal actions of this Council concerning and relating to the passage of this resOlution were adopted in an open meeting of this Council, and that all such deliberations of this Council and of any of its committees that resulted in such formal action were in meetings open to the public in compliance with all legal requirements. Section 4.
