o After receipt of the final decision of Political Subdivi- sions to participate or not, the District will determine whether it is feasible to proceed with the ~Political Subdivisions who have agreed to participate. Implementation Phase If the District determines it is feasible to proceed based upon commitments from an adequate number of Politi- cal Subdivisions, both the District and each of the then participating Political Subdivisions will enter into a uniform contract to effectuate the NMC which will pro- vide: The Political Subdivision will establish and/or maintain a Newspaper recycling program for its res- idents and, in its discretion, for its businesses and deliver exclusively to NMC the Political Sub- division's collections of Newspaper. In that con- nection, the Political Subdivision will arrange to have such collections sorted by type of Newspaper as is requested by NMC. be The District will form a Newspaper recycling coop- erative among Cuyahoga County Political Subdivi- sions which will market or otherwise dispose of the Newspaper and, as required, undertake the following activities to dispose economically of the Newspaper delivered to it by participating Political Subdivi- sions: (1) Establish a central collection area(s); and (2) Establish a processing facility(les) . . The District will utilize all revenue generated from the sale of Newspaper to pay the NMC's a) op- erating expenses; b) debt service on debt incurred to cover the cost of capital expenditures; c) rea- sonable reserves for operations, repairs, capital expenditures or required by lenders; and d) reason- able overhead ( "Expenditures ") . (1) The District from time to time will project its revenues from marketing Newspaper and its Expenditures and, if such projected revenues exceed Expenditures, will pay to the .partici- pating Political Subdivisions a unit purchase price for the Newspaper delivered.· If Expen- ditures exceed such revenues, the District -2-
