RESOLUTION NO. <br /> <br />6787z92 <br /> <br />BY: Bosdia, Gallagher, George, <br />Gibbons, Roth, Seelie, Smith <br /> <br /> A RESOLUTION authorizing and directing the Law <br />Director to serve as Trustee of the Lakewood Historical <br />Society, hereinafter referred to as "Society,,, to <br />represent the City's interests. <br /> <br /> WHEREAS, the Society is a non-profit Ohio corporation <br />and a charity with a Section 501 C3 designation from the <br />Internal Revenue Service which operates a museum in the <br />Old Stone House, located in Lakewood Park, and the <br />restored Nicholson House, and <br /> <br /> WHEREAS, both the Old Stone House and Nicholson House <br />are public facilities owned by the City and operated in <br />accordance with contracts between the Society and City, <br />and <br /> <br /> WHEREAS, Article XXI, Section 3 of the Lakewood <br />Charter permits Directors of Departments to serve as <br />members or officials of non-profit corporations where <br />their service is in the capacity of representing the City <br />and to fully participate and vote even on-contracts and <br />matters in which contracts, jobs, work, services or <br />other transactions concern both the City and the <br />non-profit corporation, and <br /> <br /> WHEREAS, Law Director Michael E. Murman has agreed to <br />serve as Trustee without compensation as the City's <br />representative on the Society's Board and has been elected <br />to said office; now, therefore <br /> <br />BE IT RESOLVED BY THE CITY OF LAKEWOOD, STATE OF OHIO <br /> <br /> Section 1. That Law Director Michael E. Murman is <br />authorized and directed to serve as Trustee of the <br />Lakewood Historical Society to represent the City's <br />interests. <br /> <br /> Section 2. That Law Director Michael E. Murman's <br />service to date as the City's representative and Trustee <br />of the Lakewood Historical'Society is hereby authorized, <br />directed, ratified and approved. <br /> <br /> Section 3. It is found and determined that all <br />formal actions of this Council concerning and relating to <br />the passage of this resolution were adopted in an open <br />meeting of this Council, and that all such deliberations <br />of this Council and any of its committees that <br /> ~~su~ted in <br />such formal action, were in meetings open ~o~-~ publ~i~, <br />in compliance with all legal re~ ~ ~ <br /> <br /> Mayor <br /> <br /> <br />
