RESOLUTION NO. 7159-96 BY: Boscia, Corrigan, George, <br /> Ro~h, Seelie, Smith <br /> <br /> A RESOLUTION authorizing and directing the Director of Law to enter <br />into agreements with Coopers & Lybrand L.L.P. and Calfee, Halter & Griswold for <br />financial and legal professional services relative to Lakewood Hospital. <br /> <br /> WHEREAS, the Lakewood Hospital Association (hereinafter "LHA") <br />currently leases Lakewood Hospital from the City of Lakewood, and <br /> <br /> WHEREAS, LHA is currently engaged in negotiations to affiliate with the <br />Cleveland Clinic Foundation (hereinaRer "CCF'), which would require an amendment to <br />the lease between LHA and the City of Lakewood, and <br /> <br /> WHEREAS, the City requires supplememal financial and legal <br />professional services in order to protect the City of Lakewood's interest in Lakewood <br />Hospital; now therefore, <br /> <br />BE IT RESOLVED BY THE CITY OF LAKEWOOD, STATE OF OHIO: <br /> <br /> Section I. The Director of Law is hereby authorized and directed to emer <br />into an agreement, for professional financial services, to protect the City's interest in any <br />potential affiliation between Lakewood Hospital and Cleveland Clinic Foundation, with <br />Coopers & Lybrand L.L.P. in an amount not to exceed twenty-five thousand dollars <br />($25,000.00). <br /> <br /> Section 2. The Director of Law is hereby authorized and directed to enter <br />into an agreement for legal professional services, to protect the City's interest in any <br />potential affiliation between Lakewood Hospital and Cleveland Clinic Foundation, with <br />Calfee, Halter & Griswold in an amount not to exceed, twenty-five thousand dollars <br />($25,000.00). <br /> <br /> Section 3.
