Fo II. (2) Adelphia shall include revenues received directly or indirectly from the provision of cable modem service over its system in the City in the calculation of gross revenues upon which it pays franchise fees to the City. (3) In the event Adelphia opens its cable platform to any other non-affiliated ISP in any other cable system, Adelphia shall also open its cable modem platform in the City to non-affiliated ISPs. Cablevision and/or Adelphia shall reimburse the City for its actual expenses incurred in connection with the proposed Trans£er of Control of the Cable Television Franchise from Cablevision to Adelphia. Adelphia shall certify at the time of the Transfer of Control that there is no material change in the information disclosed to the City pursuant to the request to approve the Transfer of Control as described in the FCC Form 394 dated February 4, 2000 and submitted to the City on February 14, 2000. Adelphia shall certify to the City that the Transfer of Control has been completed, within ten (10) business days of such completion; and The Transfer of Control shall be completed by December 31, 2000. Section 2. It is found and determined that all formal actions of this Council concerning and relating to the passage of this resolution were adopted in an open meeting of this council, and that all such deliberations of this Council and any of its committees that resulted in such formal action, were in meetings open to the public, in compliance with all legal requirements. Section 3. That the Clerk of Council is hereby directed to serve a certified copy of this Resolution by certified mail upon Cablevision and Adelphia. Section 4.
