15. This Agreement shall become effective on the effective date of the Lease Agreement and shall continue in effect until the expiration or tennination of the Lease Agreement. 16. This Agreement is made and entered into in the State of Ohio, and shall in all respects be interpreted, enforced and governed under the laws of said State. 17. To the extent any portion of this Agreement may be held to be invalid or legally unenforceable by a court of competent jurisdiction, the remaining portions of this Agreement shall not be affected and shall be given full force and effect. 18. Neither party shall assign its rights or obligations under this Agreement without the prior written consent ofthe other party. 19. This Agreement sets forth the entire agreement between the parties hereto, and fully supersedes any and all prior agreements or understandings between the parties hereto pertaining to the subject matter hereOf. No amendments or additions to this Agreement shall be binding unless in writing and signed by both parties. 20. All capitalized tenns that are not defined in this Agreement shall have the meanings assigned to them in the Franchise Agreement and/or the Lease Agreement, as the case may be.
