Corporation. FIFTH: The members of the Corporation shall be those persons or organizations described in the Code of Regulations. The members of MEMBERS the Corporation shall be initially appointees or designees of municipal corporations and thereafter may be a corporation, whether profit or nonprofit, provided such members otherwise qualify as a member. SIXTH: The Corporation shall be controlled and managed under the direction of a Boazd of Directors ("Board"). BOARD OF DIRECTORS SEVENTH: The territory within the District shall be generally described as that portion of each of the "participating political subdivisions" as that TERRITORY terns is defined in Section 1710.01 (E) of the Ohio Revised Code, which is generally property owned by each of the municipal corporations listed in the name of the Corporation where each municipal corporation will develop a special energy improvement project as that term is defined in Secfion 1710.01 (I) of the Ohio Revised Code. As provided for in Section 1702.02(A) of the Ohio Revised Code, the territory in the District may be noncontiguous if at lest one special energy improvement project is designated for each parcel of real property included in the District. As further provided in Section 1702.02 (A), additional territory maybe added to the District for the purpose of developing and implementing plans for special energy improvement projects if at least one special energy improvement project is designated for each parcel of real property included within such additional territory and the addition of territory is authorized by the initial plan under Chapter 1702. The addition of such territory has been authorized in the initial plan for the District.
