Shared Access Easement Agreement <br />This Shared Access Easement Agreement ("Agreement") is made effective the <br />_ day of March, 2012, between Discount Drug Mart, Inc., an Ohio corporation, ("Drug <br />Mart") and City of Lakewood, an Ohio municipal corporation and political subdivision <br />duly organized and existing under the laws of the State of Ohio ("Lakewood") and their <br />successors and assigns. <br />RECITALS <br />A. Drug Mart owns the real estate described on Exhibit A (the "Drug Mart <br />Parcel") which is Cuyahoga County Permanent Parcel No. 312-33-011. Lakewood owns <br />the real estate described on the attached Exhibit B (the "Lakewood Parcel") which is <br />Cuyahoga County Permanent Parcel Nos. 312-33-008; 009 and 029 and is located <br />adjacent to the Drug Mart Parcel. The Lakewood Parcel and the Drug Mart Parcel are <br />collectively hereinafter referred to as either "Parcels" or "Parcel". <br />B. Drug Mart and Lakewood each desire that (i) Drug Mart receive certain <br />easement rights on the Lakewood Parcel, (ii) adequate parking be made available for the <br />Drug Mart Parcel, and (iii) the parties make certain other covenants and agreements <br />regarding their respective Parcels. <br />C. Lakewood, by action of its City Council, duly enacted legislation, <br />Resolution No. ,approving this Agreement and transaction. <br />NOW, THEREFORE, in consideration of the foregoing recitals, the mutual <br />covenants and agreements contained herein, and for other good and valuable <br />consideration, the receipt and sufficiency of which are hereby acknowledged, Drug Mart <br />and Lakewood agree as follows: ` <br />1. Incorporation of Recitals. The above recitals are hereby incorporated into <br />this Agreement as if fully set forth herein. <br />2.
