"Proceeds" means any Sale Proceeds, Investment Proceeds, and Transferred Proceeds of <br />a series of obligations. "Proceeds" do not include Replacement Proceeds. <br />"Qualified 501(c)(3) Bonds" means a series of obligations of obligations that satisfies the <br />requirements of Section 145(a). <br />"Qualified Guarantee" means any guarantee of an obligation that constitutes a "qualified <br />guarantee" within the meaning of Regulations § 1.148 -4(f). <br />"Rebate Amount" means the excess of the future value, as of any date, of all receipts on <br />Nonpurpose Investments acquired with Gross Proceeds of a series of obligations over the future <br />value, as of that date, of all payments on Nonpurpose Investments acquired with Gross Proceeds <br />of such issue, computed in accordance with Section 148(f) and Regulations § 1.148 -3. <br />"Reftmded Bonds" means that portion of a Prior Issue the Debt Service on which, after <br />the Issuance Date of a Refunding Issue, is to be paid from Proceeds or Replacement Proceeds of <br />either such Refunding Issue or the Prior Issue. <br />"Refunding Bonds" means obligations of a Refunding Issue. <br />"Refunding Issue" means a series of obligations the Proceeds of which are or are to be <br />used to pay Debt Service on Refunded Bonds and to finance Issuance Costs, Pre- Issuance <br />Accrued Interest or permitted capitalized interest, a reasonably required reserve or replacement <br />fund, and similar costs of the Refunding Issue. <br />"Regulations" or "Reg." means applicable Treasury Regulations. <br />"Reimbursement Allocation" means an allocation of the Proceeds of a series of <br />obligations for the Reimbursement of Prior Capital Expenditures that meets each of the <br />following requirements: (a) is evidenced on the books or records of the City maintained with <br />respect to the series of obligations, (b) the allocation entry identifies either actual prior Capital <br />Expenditures, or the fund or account from which the prior Capital Expenditures were paid, and <br />(c) evidences the City's use of Proceeds of such issue to reimburse a Capital Expenditure for a <br />governmental purpose that was originally paid from a source other than the Proceeds of such <br />issue. <br />"Reimbursement of Prior Capital Expenditures" means a Reimbursement Allocation of <br />Proceeds of a series of obligations to a Capital Expenditure paid prior to the Issuance Date of <br />such issue, which satisfies clause (a), (b) or (c), as appropriate. <br />A Reimbursement Allocation satisfies clause (a) if: <br />The Reimbursement Allocation was made from Proceeds of a series of obligations issued <br />prior to March 3, 1992; and <br />The Capital Expenditure reimbursed was paid in anticipation of reimbursement from the <br />Proceeds of obligations issued by a Governmental Unit. <br />A -5 <br />
