AGREEMENT FOR THE SERVICES OF LICENSED PROFESSIONALS <br />This Agreement is entered into on August 1, 2014, by and between the the Westshore <br />Enforcement Bureau, a law enforcement unit of the Westshore Council of Governments, a <br />regional council of governments organized under Chapter 167 of the Ohio Revised Code, and its <br />member municipal corporations, ( "Client "), and The MetroHealth System, a county hospital <br />organized and operated tinder Chapter 339 of the Ohio Revised Code located at 2500 <br />MetroHealth Drive, Cleveland, OH 44109 ( "Provider "). <br />WHEREAS, Client is desirous of retaining the services of certain licensed professionals from <br />Provider described and listed in the attached Exhibit A (each a "Licensed Professional ") to <br />provide services in and relating to the fields of Trauma, Critical Care, and Emergency Medicine <br />and related medical services; and <br />WHEREAS, Provider is willing and able to provide Client the services of the Licensed <br />Professionals; <br />NOW, THEREFORE, in consideration of the foregoing statements and the mutual promises <br />made in this Agreement and for other valuable consideration (the receipt and sufficiency of <br />which are hereby acknowledged), Provider and Client (herein collectively called the 'Parties ") <br />agree as follows: <br />Section I. Term. <br />This Agreement shall commence on August 1, 2014 ( "Effective Date ") and continue for a period <br />of two (2) years thereafter ( "Initial Term ") for fees and costs set forth herein. <br />Thereafter, Client shall have the option of renewing the Agreement for additional terms of not <br />less than one year each (each a "Renewal Term "), unless the Agreement is terminated as <br />provided herein. <br />Section II. Authority, Construction, and Non - exclusivity., <br />A. Chapter 140 of the Ohio Revised Code authorizes Provider and Client's member <br />municipal corporations, as public hospital agencies, to enter into certain agreements for a <br />public purpose. <br />B. This agreement serves the public purposes of promoting state and federal policies for <br />enhancing the availability, efficiency, and economy of tactical emergency medical <br />services to municipalities. <br />C. The attached Exhibit A ( "Schedule of Licensed Professionals, Services, and <br />Qualifications ") is incorporated herein and shall be a part of this Agreement. <br />�Yw 3 it A <br />
