(3) If an amicable resolution is not reached with 60 days, and subject to subsection D <br />below of this section, may pursue any and all remedies available at law and <br />equity. <br />D. Proper venue for all unresolved disputes, controversies and litigation arising under the <br />Agreement shall be exclusively with the Courts of Ohio and each hereby agree to submit <br />to the personal jurisdiction of the Ohio Courts. <br />Section XI.
