14. NOTICE
<br />14.1 Notice under this Agreement shall be directed as follows:

<br />16, GENERAL PROVISIONS
<br />16.1 Recovery of Direct Labor, Overhead, and /or Fringe Costs:
<br />To be eligible to recover any costs associated with the LPA's Internal labor forces used on this
<br />project, the LPA shall make an appropriate selection below: I
<br />1, Direct Labor only (no indirect cost recovery for fringe benefit or overhead costs)
<br />® 2. Direct Labor plus Indirect costs determined using the Federal Do Uplinks Indirect Cost Rate'
<br />® 3. Direct Labor plus Approved Fringe Benefit Costs (fringe benefits only)a
<br />0 4. Direct Labor plus indirect costs determined using (he approved applicable Cost Allocation Plan mte4
<br />RT 6, No cost recovery of any LPA direct labor, fringe benefits, or overhead costs.
<br />For any labor costs to be eligible for reimbursement with Federal and State funds, the LPA shall
<br />meet all timekeeping requirements outlined In 2 CFR Part 200 and the ODOT LPA Cost Recovery
<br />Guidance, including ODOT Questions and Answerss and related supplementary guidance, as
<br />applicable, Additionally, If the LPA elects to recover fringe and /or Indirect costs, the LPA shall
<br />follow 2 CFR Part 200 and the LTAP Manual of Procedures.
<br />16.2 Record Retention: The LPA, when requested at reasonable times and in a reasonable manner,
<br />shall make available to the agents, officers, and auditors of ODOT, its books, documents, and
<br />records relating to the LPA's obligations under this Agreement. All such books, documents, and
<br />records shall be kept for a period of at least three years after payment of tine LPA's final voucher
<br />for payment or reimbursement of PROJECT expenses. In the event that an audit - related dispute
<br />should arise during this retention period, any such books, documents, and records that are
<br />related to the disputed matter shall be preserved for the term of that dispute. The LPA shall
<br />require that all contracts and other agreements It enters Into for the performance of the PROJECT
<br />contain the following specific language:
<br />As CLOT may legitimately request from time to tine, the contractor agrees to make
<br />available for Inspection and /or reproduction by the LPA or ODOT, all records, books, and
<br />documents of every kind and description that relate to tills contract,
<br />Nothing contained In this Agreement shall in any way modify the LPA's legal duties and
<br />obligations to maintain and /or retain its records under Ohio public records laws.
<br />r ote: If a Barely elector Is not made at III lime of contract execution, the cost recovery method will default to Option 5: No cost recovery of
<br />any LPA direct labor, fringe benefits, or overhead costs.

<br />CAP or uses the 10 percent de ndMmis rate, LPAs are required to maintain Federally compliant lime tracking systems. Accordingly, IPAs are
<br />pearetted to fill for labor costs and associated Indlrecl costs only if such costs are accumulated, tracked, and allocated in accordance with such
<br />systems. Before an LPA Is eligible to elect the de ndnimis rate on wry project, the I PKs tnaalrackhsg systam and methods for tracking other project
<br />costs must be reviewed and approved by the ODOT Office of External Audits. To obtain this approval, LPAs will loo I inputted to complete an Internal
<br />Control Questionnaire QCO), and LPAs with compliant tinie-tracking systams will be granted approval (be prequal)(led) to apply the de nslnhnis rate.
<br />r Annually, the LPA shall submit an updated rate for review and approval by the ODOT 0f(Ice of External AudIIs,
<br />4 Annually, the LPA shall submit ml updated rate for review and approval by tine ODOT Office of External Audits.
